Job Summary

Uniphore is seeking a highly skilled and business-minded Associate General Counsel - Commercial to lead and scale global commercial efforts. This high-visibility, hands-on role supports Uniphore's go-to-market initiatives and accelerates growth. The successful candidate will serve as a trusted legal advisor to senior leadership, negotiate strategic and complex customer agreements, and build processes to support the evolving business. This position reports directly to the General Counsel.

Must Have

  • Evaluate and redesign company's workflow and contracts management systems.
  • Structure, draft, and negotiate high-value commercial agreements.
  • Evolve and iterate commercial strategies, developing scalable legal frameworks.
  • Identify and implement process improvements to streamline deal cycles.
  • Collaborate with sales, revenue operations, product, engineering, and customer success teams.
  • Advise and engage with senior leadership, distilling complex legal issues.
  • Manage outside counsel and mentor legal team members.
  • Provide guidance on legal risks across data privacy, IP ownership, security, and regulatory issues.
  • 10+ years of commercial legal experience.
  • 5+ years negotiating SaaS and technology contracts.
  • 3+ years at a leading law firm in technology transactions or equivalent.
  • Proven experience optimizing contract workflows and legal operations.
  • Team player with exceptional people skills.
  • Pragmatic focus with business objectives understanding.
  • Ability to assess and manage risk, deliver business-focused legal advice.
  • Able to thrive in fast-paced environments and manage deadlines.
  • Strong understanding of IP ownership and data protection/privacy.
  • Outstanding legal and business judgment.
  • J.D. from an accredited law school and licensed to practice law in the US.

Uniphore is looking for a highly skilled and business-minded Associate General Counsel - Commercial to lead and scale our global commercial efforts.

This is a high-visibility, hands-on role that sits at the intersection of legal, sales, and strategy, supporting Uniphore's go-to-market initiatives and accelerating growth. You will serve as a trusted legal advisor to senior leadership, negotiate Uniphore's most strategic and complex customer agreements, and help build processes to support our evolving business. This position reports directly to the General Counsel.

The ideal candidate will have deep experience with SaaS and enterprise sales transactions, thrive in fast-paced environments, and be passionate about partnering with go-to-market teams to deliver practical, customer-focused, solution-oriented advice.

Primary Responsibilities

  • Evaluate and redesign the company's workflow and contracts management systems, including the implementation of AI tools throughout the contract management cycle.
  • Structure, draft, and negotiate a wide variety of high-value commercial agreements, including enterprise customer agreements (with respect to both SaaS and on premise products), data protection agreements, channel and partner agreements, technology license agreements, development and collaboration agreements, and professional service agreements.
  • Evolve and iterate commercial strategies to scale with the company, by developing scalable legal frameworks, standard templates, and negotiation playbooks.
  • Identify and implement process improvements that streamline deal cycles, enhance efficiency, and reduce friction in the sales cycle.
  • Collaborate closely with sales, revenue operations, product, engineering, and customer success teams to drive revenue while managing legal and operational risk.
  • Advise and engage with senior leadership, distilling complex legal and business issues into clear, actionable guidance.
  • Manage outside counsel and mentor legal team members as needed, fostering a collaborative, high-performance culture.
  • Provide sound guidance on legal risks across data privacy, IP ownership, security, and regulatory issues, including support for compliance with global laws impacting SaaS and AI technologies.

Required Experience

  • 10+ years of commercial legal experience, including 5+ years negotiating SaaS and technology contracts in a high-growth or enterprise tech environment and 3+ years of experience at a leading law firm working in technology transactions or equivalent senior-level experience at a top-tier technology company.
  • Proven experience optimizing contract workflows, legal operations, and documentation to improve deal velocity and consistency.
  • Team player with exceptional people skills who has the demonstrated ability to collaborate and build strong relationships at all levels of an organization.
  • Pragmatic focus with an understanding of business objectives, and the ability to assess and creatively manage risk and deliver business-focused legal advice.
  • Able to thrive in a fast-paced environment and successfully manage competing deadlines.
  • Strong understanding of IP ownership and data protection/privacy issues in the context of technology/commercial transactions.
  • Outstanding legal and business judgment, capable of making smart decisions in ambiguous situations.
  • J.D. from an accredited law school and licensed to practice law in the US.

Hiring Range:

$186,900 - $257,000 - for Primary Location of USA - CA - Palo Alto

The specific rate will depend on the successful candidate's qualifications and prior experience.

In addition to competitive base pay, this position also includes an annual incentive opportunity based on target achievement, pre-IPO stock options, benefits including medical, dental, vision, 401(k) with a match, and more, plus generous paid time off, paid holidays, paid day off for your birthday and other paid leave policies to support employees through all phases of life.
