This position requires a detail-oriented legal professional to handle corporate, compliance, and commercial functions for a publicly traded company. Key responsibilities include managing SEC compliance, preparing and filing reports, and advising on disclosure requirements. The role also involves contract law, including drafting and negotiating commercial agreements. The candidate will work cross-functionally to ensure legal and regulatory standards are met, supporting the company's growth and operational goals. This position requires the candidate to lead and assist in the preparation, review, and filing of SEC reports, including 10-Ks, 10-Qs, 8-Ks, proxy statements, and Section 16 filings, and to advise internal teams on corporate governance, disclosure obligations, and securities law compliance.
Must have:
  • JD degree from an accredited law school and active membership in a U.S. state bar.
  • 10-15 years of relevant legal experience with SEC reporting and compliance.
  • Experience in financing, M&A activities and contract negotiations.
  • Strong understanding of U.S. securities laws, corporate governance, and contract law.
  • Exceptional communication, collaboration, and problem-solving skills.
  • Strong business acumen to align legal risk with business objectives.
  • A business savvy approach to problem solving.
  • Comfortable in a fast-paced environment with shifting priorities.
Good to have:
  • Experience working in or advising software/SaaS companies.
  • Experience with global expansion, privacy regulations (GDPR/CCPA), or compliance programs.
  • Background in managing legal operations or implementing contract management systems.

POSITION SUMMARY

We are seeking a highly skilled and detail-oriented legal professional to support a broad range of corporate, compliance, and commercial functions for a publicly traded company. This individual will play a key role in managing SEC and public company compliance, including the preparation and filing of periodic reports, proxy statements, and Section 16 filings. The role also involves advising internal stakeholders on disclosure requirements and securities law obligations, as well as supporting investor relations and corporate communications.

The ideal candidate will also bring strong experience in contract law, with the ability to draft, review, and negotiate a wide range of commercial agreements. This is a unique opportunity to work cross-functionally and help ensure the company’s legal and regulatory standards are met while supporting its growth and operational goals.

KEY RESPONSIBILITIES

  • SEC & Public Company Compliance
    • Lead or assist in the preparation, review, and filing of SEC reports, including 10-Ks, 10-Qs, 8-Ks, proxy statements, and Section 16 filings.
    • Advise internal teams on corporate governance, disclosure obligations, and securities law compliance.
    • Support earnings calls, investor relations activities, and corporate communication reviews.
  • Corporate & Strategic Matters
    • Support M&A activity, due diligence, and integration efforts as needed.
    • Supervise stock administration and financing transactions.
    • Contribute to corporate policies, training, and internal compliance efforts.
  • Contract Negotiation & Review
    • Draft, review, and negotiate a wide variety of key commercial agreements.

JOB REQUIREMENTS

  • JD degree from an accredited law school and active membership in at least one U.S. state bar.
  • 10-15 years of relevant legal experience, with a strong background in:
    • SEC reporting and public company compliance
    • Financing and M&A activities
    • Contract negotiations
  • Experience in both a law firm and in-house legal department preferred.
  • Strong understanding of U.S. securities laws, corporate governance, and contract law.
  • Exceptional communication, collaboration, and problem-solving skills.
  • Strong business acumen and ability to align legal risk with business objectives.
  • Common sense, risk adjusted, business savvy approach to problem solving.
  • Comfortable in a fast-paced environment with shifting priorities.

PREFERRED QUALIFICATIONS

  • Working in or advising software/SaaS companies.
  • Experience with global expansion, privacy regulations (GDPR/CCPA), or compliance programs.
  • Background in managing legal operations or implementing contract management systems.
