Job Description

The Head of Legal & Compliance for Mexico will provide legal and compliance support, manage external counsel, and advise on commercial agreements and labor law issues. Responsibilities include managing corporate records, assisting with transactions, providing strategies, and supporting advertising material compliance. The role involves leadership, demonstrating integrity, and remaining abreast of local law requirements. The role will be a part of Mexico's Leadership Team.

Mexico Legal & Compliance Head

About the role:

This role provides general Legal and Compliance support to the country, keeps the Latam Legal Head and Senior Business Management apprised of legal matters in the country, carries out projects at the request of the General Manager and Latam Legal Head, manages the efficient use of external counsel resources (where required) and appropriately collaborates with other members of the Law Department and other supporting functions (Finance, HR, Tax, Regulatory, Medical). The scope is broad and covers commercial/contractual issues, employment/labour law matters, corporate law, litigation, regulatory, competition, IP, and proactive risk management advice & training, following GSK principles and acting as business guardian partner.

The role will have a sit on the Mexico´s Leadership Team.

Key Responsibilities:

  • Understand and implement the company’s relevant internal governance and reporting requirements

  • Manage external counsel in an efficient and cost effective manner

  • Draft, review, negotiate and advise on commercial agreements, including master service agreements, supply agreements, subcontractor agreements, joint venture/teaming agreements, confidentiality agreements, as well as advise on risk-related issues in connection with contracts

  • Advise on employment/labour law issues

  • Advise in relation to commercial disputes and manage strategic litigation within the country

  • Administer the corporate registers and records for the group companies in the country and ensure compliance with applicable companies/corporation laws

  • From time to time, assist with corporate transactions, new company or office/branch startups, small acquisitions or divestitures, and joint ventures.

  • Provide strategies to defences related to BOH, Consumer Authority   assessments, as well as complaints and notices to Competitors before Self Regulatory courts and Trade Associations Ethic committees.

  • Support in the analysis of the advertising material at Haleon´s System, campaigns, ensuring   it is complying with   the law and Haleon´s values

Compliance

  • Working with local leadership, to collectively and visibly demonstrate tone from the top about compliance and its importance in successfully achieving the Win as One framework

  • Fostering a culture of integrity and accountability, by questioning business practices/initiatives which appear inconsistent with the Code and/or Compliance policies

  • Providing first line advice to the business on Compliance matters, escalating complex/material issues to Group in a timely manner and remaining abreast of local law requirements/enforcement trends

Leadership

  • Champion and drive change & continuous improvement.

  • Drive and model compliance with all Haleon codes of practice.

  • Model Haleon culture and behaviours, while ensuring it all pivots back to delivering everyday health with humanity.

  • Can identify business challenges and proactively propose/adjust the legal support required

  • Able to express himself/herself effectively, with logic in writing and speaking

  • Business partner with focus on solutions and at the same time in stablishing the right limits to guarantee compliance with internal and external rules/laws (compliance piece of the role)

  • Strong value-oriented, flexibility and good reading of scenarios

  • Works confidently with the local/regional and Global teams / Fits within the culture

  • Agility in solving complex problems, eventually without the correct level of information/inputs

Requirements:

  • Advanced English required, Portuguese desirable

  • Self-managed and basic strategic thinking

  • Leadership and communication skills compatible to the role

  • Hands-on, excellent team-worker

  • Business oriented

  • Experience with contracts and litigation management in all practice areas such as commercial, labour, consumer, etc.

  • Good knowledge of regulatory matters, as well as previous experience with Regulatory bodies, specially Health and Anti-trust authorities.
