About Polygon Labs

Polygon Labs is a software development company building and developing a network of aggregated blockchains via the AggLayer, secured by Ethereum. As public infrastructure, the AggLayer will bring together user bases and liquidity for any connected chain, and leverage Ethereum as a settlement layer. Polygon Labs has also contributed to the core development of several widely-adopted scaling protocols and tools for launching blockchains, including Polygon PoS, Polygon zkEVM, and Polygon Miden, which is in development as well as Polygon CDK.

Your Role

This role joins a strong legal team led by a long-time industry legal advisor, with support from other experienced senior counsel.  Senior Counsel at Polygon Labs take on myriad responsibilities across all areas of the business, with exposure to senior executives, cross-functional business leaders, high profile external counterparties and a robust independent community — all of whom are dedicated to the long term success of innovative blockchain network solutions.

Your Responsibilities

• Work closely as an advisor to the business on all legal matters, especially on corporate matters and certain product questions, including negotiating contracts with collaborators and vendors.

• Draft and negotiate bespoke, first-of-their kind agreements for novel products and collaborations within the blockchain network space.

• Provide legal guidance to operating entities, including advice on product development and compliance as well as corporate governance and operational best practices.

• Develop and drive legal contracting process and workflows.

• Manage outside counsel efficiently and effectively where they are engaged in connecting with high profile and other projects, while maintaining domain expertise.

• Escalating matters to CLO where and when needed.

• Pitch on all matters that arise that require your expertise.

• Ensure legal compliance in multiple jurisdictions, collaborating with external counsel (e.g., termination notices, General Release forms).

• Implement policies and manage record retention across departments.

• Support commercial and financial agreements, including BD deals, contractor agreements, and advisor fees.

What You’ll Need

• J.D. degree from a top tier law school and admission to at least one state bar

• 4+ years of experience at a reputable law firm and/or in-house

• M&A, corporate structure, early stage financing is a plus

• Commercial contract experience, including negotiation and drafting skills, as well as deep knowledge of contract terms

• Excellent academic credentials and references

• Ability to work cross-functionally with various internal teams, and external stakeholders.

• Strong organizational and project management skills with attention to detail.

• Excellent judgment and decision-making skills, and the ability to interact productively with other attorneys and staff, in-house client groups and outside counsel

• Web 3 experience is a plus
