Job Description

As a member of the T2 Asia legal team, the legal assistant will work from the Shanghai office, assisting the China legal counsel and other team members with the legal, compliance and secretarial matters in China and other regions across Asia Pacific. This role offers hands-on exposure to a wide range of legal and compliance issues, including due diligence, document drafting, corporate filings, and stakeholder support, while tracking legal developments in China.

Must Have:
  • Assist China legal counsel with legal, compliance, and secretarial matters in China and Asia Pacific.
  • Conduct effective China-based due diligence on third parties.
  • Draft bespoke bilingual non-disclosure agreements and other template documents.
  • Assist with local corporate filings, bank filings, government inquiries, and approvals.
  • Prepare translations between English and Chinese for contracts, letters, and policies.
  • Provide ongoing support to stakeholders on due diligence, contract requests, and execution processes.
  • Assist with legal process onboarding and initial compliance training for China hires.
  • Work with paralegal to draft, review, and finalize contract logs, summaries, and memos.
  • Archive hardcopy originals of contracts and documents according to China requirements.
  • Manage validity, copying, and authentication of corporate documents for China entities.
  • Keep and apply company chops, logging their use.
  • Manage legal bills and invoices from outside counsel.
  • Track developments in Chinese laws, regulations, and government enforcement initiatives.
  • Possess a Bachelor's degree in Law from an accredited Chinese law school.
  • Have a minimum of 1 year of experience as a legal assistant or paralegal.
  • Demonstrate strong command of both Mandarin and English (written and spoken).

The Challenge:

As a member of the T2 Asia legal team, the legal assistant will work from the Shanghai office, assisting the China legal counsel and other team members with the legal, compliance and secretarial matters in China and other regions across Asia Pacific. The work load of the current China Counsel role has increased to include more China specific marketing initiatives and development requirements across the 2K and Rockstar label, requiring more detailed analysis and risk assessment and document drafting.

This role is an opportunity to gain hands-on exposure to a wide range of legal and compliance issues across China and where possible, the broader Asia Pacific region.

What You’ll Take On:

  • Assisting the China legal counsel in conducting effective China based due diligence on third parties, reviewing due diligence questionnaires and forms, collecting the required documents, researching China websites and preparing records for due diligence.
  • Drafting bespoke bilingual non-disclosure agreements and other template-based documents under the guidance of the China legal counsel.
  • Assisting the China legal counsel with local corporate filings, bank filings, government inquiries and applications for government approvals regarding office relocations, tax issues, corporate registrations.
  • Preparing translation between English and Chinese in contracts, letters and daily communication documents and new government policies.
  • Providing ongoing support and assistance to stakeholders in other departments through the due diligence, contract request, approval and execution processes, including Ironclad.
  • Assisting with the legal process on-boarding of new hires and initial compliance training for China specific hires in Chinese.
  • Work with the Singapore based paralegal to draft, review and finalise contract logs, contract summaries and transaction memos.
  • Archiving the hardcopy originals of contracts and other documents in accordance with China document keeping requirements.
  • Management of the validity, copying and authentication of business licenses, certificates and other corporate documents of the China entities.
  • Keeping the company chops, applying the chops pursuant to the China legal counsel’s instructions, and logging the use of chops in the chop written record document.
  • Managing the legal bills and invoices from outside counsel and liaising with outside counsel when needed regarding said invoices.
  • Tracking the developments in Chinese laws, regulations, and government enforcement initiatives.
  • Other ad hoc work assigned from time to time.

What You Bring:

  • Bachelor's degree in Law from an accredited Chinese law school
  • Passing the Chinese Bar Exam preferred.
  • Minimum 1 year of experience as a legal assistant or paralegal in a multinational corporation or reputable law firm.
  • Strong command of both Mandarin and English (written and spoken).
  • High standard of integrity, discretion, and professionalism.
  • Detail-oriented, self-motivated, and eager to learn.
  • Strong teamwork and adaptability in a fast-paced environment.
  • Excellent organizational and communication skills.
