Job Description

PwC's legal services team offers comprehensive legal solutions and advice to internal and external clients, ensuring regulatory compliance and minimizing legal risks. This role in company secretarial and governance involves providing crucial support on corporate governance, compliance, and regulatory matters to enable effective decision-making and transparency within the organization. You will be responsible for maintaining legal and ethical standards, managing client portfolios, preparing statutory documents, and advising on corporate secretarial matters in accordance with the Companies Act 2016.
Must have:
  • Manage a portfolio of clients, including attending client’s board and member meetings, company incorporation, and winding-up.
  • Collaborate efficiently with PwC counterparts on global client requests and standards.
  • Prepare directors' resolutions, members' resolutions, notices, discussion papers, and minutes of meetings.
  • Prepare statutory returns for submission to the Companies Commission of Malaysia.
  • Update statutory records.
  • Provide advice to clients on corporate secretarial matters in relation to statutory requirements, in accordance with the Companies Act 2016.
  • Attend meetings/discussions with clients and liaise with third parties (bankers, auditors, CCM officers, tax agents).
  • Manage clients’ deliverables to ensure that timelines are met.
  • Manage onboarding processes and risk management activities for new and existing corporate clients.

In company secretarial and governance at PwC, you will provide advice and support on corporate governance, compliance, and regulatory matters to enable effective decision-making and transparency within the organisation. Your work will involve maintaining legal and ethical standards for the company.

Responsibilities

  • Manage portfolio of clients, including attending client’s board and member meetings, incorporation of companies, registration of foreign branches / representative offices, members’ voluntary winding-up, striking-off, etc.
  • To efficiently collaborate with PwC counterpart in managing global client requests and standards, ensuring alignment and consistency throughout PwC's operations.
  • To prepare directors' resolutions, members' resolutions, notices, discussion papers and minutes of meetings.
  • To prepare statutory returns for submission to the Companies Commission of Malaysia.
  • To update the statutory records.
  • Provide advice to clients on corporate secretarial matters in relation to statutory requirements, in accordance with the Companies Act 2016 (“CA 2016”), Constitution and any other relevant regulations, including assisting with transactions, governance and compliance related matters.
  • To attend meetings / discussion with clients (together with superior); liaise with third parties, such as bankers, auditors, CCM officers, tax agent, etc.
  • Manage clients’ deliverables to ensure that timelines are met.
  • Managing onboarding processes and risk management activities for both new and existing corporate clients and their key officers, ensuring adherence to PwC’s policies and the CA 2016 requirements.

Requirements

  • Possess ICSA qualification.
  • Possess 1-2 years secretarial working experience.
  • Possess a high degree of professionalism and integrity, ability to communicate with various levels of management and keen to work in consulting and client facing environment.
  • Good command of oral and written English.
  • Able to provide guide and coach juniors in the team.
  • The role may require you to visit clients to provide advice and carry out the work.
