Job Description

Cadence is seeking a Paralegal/Contracts Administrator for its Bracknell office to cover all aspects of EMEA Legal work, including commercial, company secretarial, and administrative matters. The role involves organizing and maintaining legal documents, managing contract lifecycles, conducting initial legal reviews, providing company secretarial services for EMEA entities, and managing invoicing processes. Occasional travel to EMEA and the US may be required.
Must have:
  • Organise and maintain files, document databases, and electronic records.
  • Lead contract lifecycle management, including reviewing and redlining NDAs and software licenses.
  • Conduct initial reviews of legal documentation and identify issues.
  • Provide company secretarial services to EMEA entities, including director changes and account approvals.
  • Work with external counsel to draft and sign board and shareholder resolutions.
  • Demonstrate understanding of corporate law and company formation.
  • Manage international subsidiaries and associated corporate secretarial work.
  • Manage invoicing processes and liaise with external law firms.
  • Experience in legal, paralegal, contractual, or company secretarial activities at a law firm or company.

Job Overview:

Paralegal/contracts administrator in EMEA covering all aspects of EMEA Legal work – e.g. Commercial, Company secretarial and Administrative matters.

Job Responsibilities:

  • Organise and maintain files, document databases, and electronic records to ensure accurate and up-to-date information is readily accessible.
  • File and retrieve corporate documents, records, and reports
  • Arrange signature of documents by senior management in EMEA and the US, including processing digital signatures.
  • Analyse incoming emails, submissions, and documents to determine their importance and follow up action needed
  • Lead contract lifecycle management of reviewing and redlining NDAs, some software licences and other routine legal documentation.
  • Conduct initial reviews of legal documentation and issue spotting, escalating issues as appropriate.
  • Provide company secretarial services to entities in EMEA, including: assisting with director changes, account approvals, managing accurate entity records, etc. This will involve:
  • Working with external counsel in various jurisdictions across EMEA to arrange drafting of board and shareholder resolutions, and arrange signatures
  • Understanding of the basics of corporate law/company formation (bylaws/roles of shareholders and directors etc.)
  • Experience with managing international subsidiaries and associated corporate secretarial work is required
  • Manage invoicing processes and liaising with external law firms
  • Assist with travel plans and administration for visiting colleagues
  • Some occasional travel may be required – EMEA and US, but work is mostly based in Bracknell.

Experience required:

Experience carrying out legal, paralegal, contractual and/or company secretarial activities at a law firm or company.
