Job Description

The Contracts Manager will play a vital role in building a world-class identity security SaaS company in the APJ region. This role involves driving sales contracting, deal processes, and legal systems. The Contracts Manager will negotiate and close deals with enterprise customers. Responsibilities include supporting the sales team, drafting and negotiating various agreements (SaaS, software licensing, DPAs, NDAs, etc.), leading contract negotiations with customers, and collaborating with internal stakeholders. The candidate should be organized, a natural communicator, and driven to complete tasks accurately and on time.
Must have:
  • Fluent in Japanese and English
  • Degree in law or business (or equivalent)
  • Experience with customers in Japan/APJ
  • 3+ years in a similar role at a SaaS company
  • 3+ years drafting and negotiating SaaS/Cloud agreements
  • Experience with NDAs/confidentiality agreements
  • Familiarity with data privacy legislation
Good to have:
  • Experience drafting consultancy/professional services agreements
  • Experience with reseller partner agreements
  • Experience supporting internal sales clients
  • Familiar with revenue recognition matters
  • Proficiency in contracting tools like Salesforce and Conga CLM
  • Proficient in contract database/management systems

Job Description 

SailPoint is currently searching for a Japanese speaking talented, self-motivated individual who wants to be a vital part in building a world-class, identity security SaaS company in the region of APJ. As a Contracts Manager, you will help drive our sales contracting, deal processes, and legal systems. As you gain experience, you will take a direct role in negotiating and closing deals with sophisticated, enterprise customers. The right candidate for the job is an experienced dealmaker, a natural communicator & collaborator, organized, intellectually curious, and driven to see things through to completion in a timely and accurate manner. 

Roles and responsibilities: 

  • Direct support to the SailPoint sales team for all contracting matters 

  • Drafting and negotiating the following to completion, both in line with SailPoint commercial policies and within applicable monthly and quarterly deadlines: 

  • Software as a service terms and conditions (SailPoint and customer paper) 

  • Software license terms and conditions (SailPoint and customer paper) 

  • Data Processing Addenda (DPAs) 

  • Non-Disclosure Agreements (NDAs)/confidentiality agreements 

  • Schedules/Quotations terms to customers 

  • Partner/reseller terms and conditions 

  • Statements of work (professional services) 

  • Negotiating general agreements (amendments, addenda, etc.) with external customers and partners  

  • Leading contract negotiations directly with customers, and working alongside internal sales clients to close deals  

  • Providing thought leadership on negotiation strategies, deal shaping best practices, and industry norms 

  • Providing first line responses to internal sales client queries 

  • Collaborating with SailPoint commercial legal, deal desk, accounting, sales engineering, and other internal stakeholders  

  • Issuing delivery notices for some software and cloud services orders 

  • Filing signed agreements and other contract documents 

Minimum Requirements: 

  • Must be fluent in Japan and English

  • Must have degree level education in law or business (or equivalent certified experience)

  • Must have experience working with Customers located in Japan and other regions in APJ.

  • 3+ years working in similar role in a SaaS company and commercial environment  

  • 3+ years experience drafting and negotiating: 

  • SaaS/Cloud subscription agreements/terms and conditions 

  • Software licensing agreements/terms and conditions 

  • NDAs/confidentiality agreements 

  • Familiarity with and/or experience drafting:  

  • DPAs 

  • Consultancy/professional services agreements  

  • Reseller partner agreements 

  • Experience supporting and collaborating with internal sales clients 

  • Familiar with revenue recognition matters 

  • Precise attention to detail in document drafting methodical, organized and process-driven 

  • Excellent communication skills – written and verbal 

  • Experience collaborating with all levels of company leadership and to coordinating across functional teams and internal stakeholders 

  • Proficiency in contracting tools and apps such as Salesforce and Conga CLM

  • Ability to manage multiple matters, under pressure from sales internal clients and in line with monthly and quarter-end timescales 

  • Proficient in contract database/management systems  

  • Ability to work remotely and proficiently without supervision 

  • Familiarity with data privacy legislation and industry-standard data processing terms
