Wolters Kluwer is seeking a Senior Legal Counsel to join their team. This role involves working with senior management on commercial contracts, corporate matters, M&A transactions, intellectual property, product development, regulatory compliance, and customer/vendor issues. Responsibilities include providing legal counseling, drafting and negotiating agreements, handling complex legal projects, conducting risk assessments, and supporting cross-functional initiatives. The ideal candidate will have a law degree and 6-10 years of experience in corporate/commercial legal matters.
Must have:
  • Provide comprehensive legal counseling on commercial, corporate, technology, IP, cybersecurity, privacy, and regulatory laws.
  • Structure, draft, negotiate, interpret, manage, and enforce technology and commercial agreements.
  • Independently handle specialized legal tasks and complex legal projects.
  • Provide comprehensive legal analysis and draft high-quality legal documents.
  • Lead contract negotiations and ensure compliance with legal requirements.
  • Advise on intricate legal matters, providing detailed legal opinions.
  • Conduct thorough legal risk assessments and develop mitigations.
  • Represent the organization in high-stakes negotiations and legal proceedings.
  • Review and contribute to the development of company policies.
  • Support cross-functional initiatives with detailed legal insights.
  • Monitor and interpret legislation changes affecting the organization.
  • Prepare reports and presentations for senior leadership on legal matters.

Mission:

As a Senior Legal Counsel, you will work closely with the senior management team on general commercial contracts (e.g., SaaS and content licensing contracts, customer services contracts and vendor contracts), corporate and contractual matters and M&A transactions, as well as advising on intellectual property issues, product development legal issues, regulatory compliance and customer/vendor matters.

Responsibilities:

  • Providing comprehensive legal counseling regarding a broad spectrum of commercial, corporate, technology, intellectual property, cybersecurity, privacy and regulatory laws and matters CP&ESG.
  • Structuring, drafting, negotiating, interpreting, managing, and enforcing all types of technology and other commercial agreements.
  • Independently handle specialized legal tasks and complex legal projects.
  • Provide comprehensive legal analysis and draft high-quality legal documents.
  • Lead contract negotiations and ensure compliance with legal requirements.
  • Advise on intricate legal matters, providing detailed legal opinions.
  • Conduct thorough legal risk assessments and mitigations.
  • Represent the organization in high-stakes negotiations and legal proceedings.
  • Review and contribute to the development of company policies.
  • Support cross-functional initiatives with detailed legal insights.
  • Monitor and interpret legislation changes affecting the organization.

Skills:

  • Bachelor’s degree and law degree required.
  • 6-10+ years of increased responsibility in handling sophisticated corporate/commercial legal matters, including work experience with both a multi-national law firm and an established corporate law department.
  • Complex Legal Analysis: Proficiency in analyzing complex legal issues.
  • High-Quality Drafting: Capability to draft well-structured legal documents.
  • Negotiation Skills: Expertise in negotiating legal agreements independently.
  • Legal Opinion: Ability to provide detailed and clear legal opinions.
  • Risk Mitigation: Conducting thorough assessments and developing mitigations.
  • Representation: Skills in representing the organization in negotiations and proceedings.
  • Policy Review: Reviewing and developing organizational policies.
  • Strategic Insight: Providing strategic legal insights across functions.
  • Advanced written and spoken English level.
