The Senior Corporate Paralegal will assist the corporate legal and sustainability teams with various tasks. Responsibilities include preparing documentation for board meetings, maintaining corporate records, preparing statutory filings, and assisting with SEC reports and annual shareholder meetings. Additionally, the role involves assisting with mergers, acquisitions, and investments, managing legal files, and coordinating with internal and external groups. The ideal candidate should possess strong organizational skills and the ability to manage multiple tasks effectively.
Must have:
  • 5-7 years experience in law firm and in-house.
  • Familiarity with corporate entity formation and governance.
  • Experience with board and committee meeting preparation.
  • Strong communication and interpersonal skills.
  • Excellent computer skills with proficiency in Microsoft Office.
Good to have:
  • Bachelor's degree.
  • Notary Public.
  • Experience with Boardvantage board portal.
  • Experience with Workiva SEC filing system.

Paralegal to assist the corporate legal team and the sustainability team

What You Can Expect

Board of Directors:

  • Assist with preparing documentation for board of director and committee meetings, including board agenda, minutes and information packages for Board members.

Subsidiary Management:

  • Maintain corporate and subsidiary minute books
  • Prepare, process and maintain statutory and regulatory filings and records (e.g., formations, articles of incorporation, bylaws, state qualifications filings, annual reports, proxies).
  • Prepare subsidiary consents and resolutions, including annual meeting, stockholder, and board action.
  • Support corporate restructurings, including assisting with the formation, merger or dissolution of entities.

SEC Reports and Annual Shareholder Meeting

  • Assist in preparation of Proxy Statements, SEC Reports and Section 16 requirements and work closely with stock administration and finance related to disclosures therein:
  • Prepare Form 3s, 4s, and 5s for Section 16 Officers and Directors under Section 16 and maintain EDGAR access codes.
  • Support proxy solicitation process, including development of proxy timeline and proxy back up materials; work with Company’s transfer agent and stock administration on shareholder record keeping.
  • Support and administration of D&O questionnaires.

Other:

  • Assist with mergers, acquisitions and investments and other major transaction closings.
  • Assist in legal department SOX processes and documentation.
  • Establish and maintain legal files.
  • Assist in arranging execution of key agreements by the Company’s officers and directors.
  • Interface with internal groups (e.g., Finance, Tax, Treasury) and external groups (outside counsel and auditors) to provide corporate information and general corporate assistance.
  • Assist the sustainability group with disclosure and record keeping matters.

What We're Looking For

Knowledge, Skills and Abilities:

  • Minimum 5-7 years in a combination of law firm and in-house experience preferred;
  • Familiarity with corporate entity formation, maintenance, and governance;
  • Experience with board and committee meeting preparation;
  • Good business judgment and high ethical standards;
  • Excellent computer skills with proficiency in Microsoft Office and practice-related software;
  • Strong communication skills interpersonal, presentation and written;
  • Great organizational skills required.
  • Strong administrative skills and keen attention to detail;
  • Ability to manage multiple tasks and prioritize;
  • Team player.

Qualifications:

  • Paralegal certificate or an equivalent combination of education and experience.
  • Five to Seven years corporate, executive-level related experience.
  • Ability to work independently on a variety of projects and tasks.

 Preferred:

  • Bachelor's degree.
  • Notary Public.
  • Experience with Boardvantage board portal.
  • Experience with Workiva SEC filing system. 

Expected Base Pay Range (USD)

46 - 70, $ per hour.

The successful candidate’s starting base pay will be determined based on job-related skills, experience, qualifications, work location and market conditions. The expected base pay range for this role may be modified based on market conditions.
