The Senior Legal Counsel position will be part of the North American legal organization within the Wolters Kluwer law department, primarily supporting the Tax and Accounting (“TAA”) Division’s commercial activities in North America, serving the Preparer and Canada software businesses (the Performance Segment). This role involves comprehensive legal counseling on commercial, corporate, technology, intellectual property, cybersecurity, privacy, and regulatory matters, including structuring, drafting, and negotiating various commercial agreements. The counsel will also advise on regulatory compliance and new customer offerings, working closely with the Performance segment's senior management.
Must have:
  • Provide comprehensive legal counseling on commercial, corporate, technology, intellectual property, cybersecurity, privacy, and regulatory laws.
  • Structure, draft, negotiate, interpret, manage, and enforce technology and commercial agreements.
  • Counsel on regulatory and compliance matters, including tax-time financial products.
  • Work with business on new customer offerings, marketing, data protection, and cybersecurity risks.
  • Develop strong rapport with Performance Software business segment management.
  • Gain in-depth knowledge of TAA North America's markets, products, customers, and regulatory environment.
  • Effectively manage outside counsel cost-effectively.
  • Bachelor’s degree and law degree (J.D. or L.L.B).
  • 8-10 years of corporate/commercial legal experience, preferably with multi-national law firm and corporate law department.
  • Substantial legal experience with sophisticated domestic and international commercial contracts.
  • Strong working knowledge and experience with SaaS agreements, software, and e-commerce transactions.

Senior Legal Counsel – Performance Market

The Senior Legal Counsel position will be part of the North American legal organization within the Wolters Kluwer law department. This position will primarily support the Tax and Accounting (“TAA”) Division’s commercial activities in North America, serving the Preparer and Canada software businesses (the Performance Segment). In addition, this position will also support TAA North America business segments in Professional and Research & Advisory, as needed. The position will be part of the Wolters Kluwer TAA Legal team and will report to the Assistant General Counsel for TAA North America.

BASIC FUNCTIONS AND PRINCIPAL RESPONSIBILITIES

The Senior Legal Counsel will work closely with the senior management team of the Performance segment on general commercial contracts (e.g., SaaS, licensing contracts, customer services contracts and vendor contracts), corporate and contractual matters and M&A transactions, as well as advising on intellectual property issues, product development legal issues, regulatory compliance and dispute matters.

Specific accountabilities and responsibilities are expected to include the following:

  • Providing comprehensive legal counseling on a broad spectrum of commercial, corporate, technology, intellectual property, cybersecurity, privacy and regulatory laws and matters.
  • Structuring, drafting, negotiating, interpreting, managing, and enforcing all types of technology and other commercial agreements
  • Counseling on regulatory and compliance matters impacting the business, including with respect to tax-time financial products.
  • Working closely with the business on new customer offerings or services and related customer agreement terms, promotional and marketing activities, data protection and cybersecurity risks across different offerings.
  • Developing a strong rapport and working relationship with the management team of the Performance Software business segment to help drive the delivery of effective and high-quality legal services
  • Developing an in-depth knowledge and understanding of TAA North America, its people, organization, markets, products, customers, competitors and regulatory environment, in order to identify trends and provide legal/commercial advice to the businesses.
  • As appropriate, effectively manage outside counsel in a cost-effective manner.

QUALIFICATIONS:

Education: Bachelor’s degree and law degree required, J.D. or L.L.B

Required Experience:

  • A minimum of 8-10 years of progressively responsible corporate/commercial legal experience, preferably including experience with both a multi-national law firm and an established corporate law department.
  • Substantial legal experience focused on sophisticated domestic and international commercial contracts.
  • A strong working knowledge of, and experience with SaaS agreements, software and e-commerce transactions.

The ideal candidate will have a proven history of working well with and influencing members of the senior management teams of entrepreneurial organizations, and will possess the intellect, confidence, maturity, team orientation and positive sense of humor to work with talented, dedicated, demanding client groups.
