Job Summary
KRAFTON India is seeking a motivated and detail-oriented Company Secretary to ensure compliance with statutory and regulatory requirements. The role involves assisting in preparing and filing ROC forms, drafting Board and Committee meeting notices and minutes, ensuring compliance with Companies Act, 2013 and FEMA, maintaining statutory registers, and supporting corporate restructuring activities. The ideal candidate will have completed CS from ICSI and possess strong knowledge of corporate governance and company law.
Must Have
- Assist in preparing and filing ROC forms, annual returns, and other statutory filings with the Ministry of Corporate Affairs (MCA).
- Draft and maintain Board and Committee meeting notices, agendas, and minutes.
- Hold Board, general and other committee meetings.
- Ensure compliance with Companies Act, 2013, FEMA regulations, and other applicable laws.
- Maintain statutory registers such as Register of Members, Directors, and Share Transfers.
- Qualified Company Secretary (Member of ICSI).
- 0-1 year experience (including internship experience).
- Strong understanding of Companies Act, 2013, FEMA, and corporate governance practices.
Good to Have
- Excellent drafting, communication, and organizational skills.
- Strong attention to detail and confidentiality.
- Proficiency in MS Office (Word, Excel, PowerPoint).

About the Role
We are seeking a motivated and detail-oriented Company Secretary to assist in ensuring that our company complies with all statutory and regulatory requirements. The ideal candidate should have completed CS from ICSI and possess strong knowledge of corporate governance, company law, and secretarial practices. This role offers hands-on exposure to corporate compliance, board management, and company law matters.
Responsibilities
- Assist in preparing and filing ROC forms, annual returns, and other statutory filings with the Ministry of Corporate Affairs (MCA).
- Draft and maintain Board and Committee meeting notices, agendas, and minutes.
- Hold Board, general and other committee
- Ensure compliance with Companies Act, 2013, FEMA regulations, and other applicable laws.
- Maintain statutory registers such as Register of Members, Directors, and Share Transfers.
- Support in corporate restructuring activities, if any (e.g., mergers, share allotments, ESOPs).
- Liaise with regulatory authorities, auditors, and stakeholders as required.
- Assist in drafting and reviewing company policies, resolutions, and legal documents.
- Stay updated with amendments in company law and regulatory requirements.
- Coordinate with external consultants, lawyers, and internal teams for compliance matters.
Requirements
- Education: Qualified Company Secretary (Member of ICSI).
- Experience: 0–1 year (including internship experience).
- Knowledge: Strong understanding of Companies Act, 2013, FEMA, and corporate governance practices.
