PwC Ireland is seeking an experienced Commercial lawyer to work in its Office of General Counsel (“OGC”) team, to support the continued growth of our Irish business, primarily in the consulting, technology, and managed services space. Our technology practice has grown significantly over the past few years and we anticipate this continuing and increasing into the future.

You will have at least 6 years’ experience in providing commercial legal advice, preferably within an in-house environment or within law firms, ideally working with clients similar to PwC or its competitors. You will also have excellent communication skills, the ability to build strong relationships and the capability to determine strategy and influence negotiations in an innovative business environment.

The work is demanding and varied, and no day will be the same. You will be able to assimilate information quickly, get to the heart of a deal and advise the business not just on the legal and commercial aspects of any given deal, but on the project as a whole. You will work closely with engagement delivery teams, you will have direct access to our clients and their legal teams and you will act as the face of PwC in negotiations. The existing OGC team is highly valued by the business and are very much seen as business enablers, always retaining a commercial focus.

The Irish OGC team is led by the General Counsel, who is a member of the Firm Leadership Team, and also consists of four other Legal Counsel who you will work alongside. The existing team is an experienced, well established and supportive group of professionals, who are highly regarded by and well networked to the business, and who have strong relationships with a wide range of senior professionals in the organisation.

Whilst this role has a technology focus, OGC works as one team, with no definitive clear cut division of specialities, which means that the successful candidate will also be exposed to a broad variety of in- house matters, giving them the opportunity to develop new areas of legal expertise.

The individual appointed to this role will report to the OGC Director. The successful candidate will have access to the broad range of training and developmental opportunities available to staff at PwC and will come into a defined career structure.

Key responsibilities include:

  • Independently negotiating, managing and running complex contract negotiations on behalf of OGC to include non standard/client contracts, public body contracts, and global framework agreements, MSAs or other multi territory contracts;
  • Negotiating commercial contracts with a specific focus on technology implementation contracts and/or managed services, outsourcing and other commercial and IT related contracts;
  • Be the OGC point of contact and lead OGC contracts lawyer for technology contracting for the Firm;
  • Advise on data protection law and review and negotiate data protection terms in both client and supplier agreements;
  • Work in collaboration with the wider PwC network as required on cross border deals including Global Framework Agreements and Master Services Agreements.
  • Take responsibility for managing and creating new precedents and guidance notes for use throughout PwC’s business.
  • Keep abreast of changes in current law and regulations in order to keep the business up to date.
  • Work closely with the other members of the OGC team but have the capacity and expertise necessary to work independently while managing a diverse and heavy workload.

Key requirements for the role:

  • Detailed knowledge of Irish Law, at least 6 years’ PQE (or equivalent); top tier law firm experience or time spent working in-house an advantage;
  • Proven experience in commercial contracts negotiation with a specific focus on technology implementation contracts and/or managed service, outsourcing and other commercial and IT related contracts a strong advantage;
  • Experience in handling topics such as privacy and data protection law is an advantage but not a requirement;
  • Strong drafting skills;
  • Ability to handle complex negotiations using sound judgment to ensure that the firm’s best interests are served;
  • Ability to appreciate the wider reputational, commercial and business aspects of each deal;
  • Ability to adapt and to be open minded and innovative;
  • Sound judgment and well developed influencing skills, together with the confidence and experience to work with senior management across the business; and
  • An ability to build strong relationships and become a trusted advisor to the business
