PrimusLife is seeking a full-time Company Secretary Manager to oversee corporate governance and compliance, ensuring adherence to the Companies Act, SEBI regulations, and start-up specific laws. The role involves strategic advisory to leadership, managing board and shareholder meetings, and overseeing legal and contractual matters. The manager will also liaise with regulatory authorities, manage audits, and lead a small team, contributing to the company's growth in a fast-paced environment.
Must have:
  • Oversee and manage compliance with the Companies Act, 2013, SEBI regulations, and other applicable laws.
  • Maintain and update statutory records, registers, and filings, ensuring timely submission of annual returns, board resolutions, and other legal documents.
  • Ensure adherence to start-up-specific regulations, including fundraising and investor compliance.
  • Provide strategic legal and governance advice to senior leadership and the board.
  • Assist in drafting policies, procedures, and compliance frameworks aligned with the company’s growth trajectory.
  • Support in structuring mergers, acquisitions, and fundraising activities, ensuring regulatory readiness and due diligence.
  • Organize and manage Board and General Meetings, including agenda setting, minute preparation, and follow-ups.
  • Advise the board on key corporate governance matters and statutory obligations.
  • Act as a liaison between the board, management, and external stakeholders, including investors and regulatory authorities.
  • Draft, review, and negotiate contracts, agreements, MOUs, and other legal documents to mitigate risk and ensure compliance.
  • Monitor legal obligations and ensure adherence to licensing, intellectual property, and other relevant legal frameworks.
  • Liaise with regulatory authorities such as MCA, SEBI, RBI, and other statutory bodies.
  • Prepare and manage audits, including secretarial, internal, and statutory audits.
  • Lead a small team or work cross-functionally with other departments to ensure compliance and governance.
  • Mentor and train junior team members or stakeholders on regulatory matters.

Key Responsibilities:

  • Corporate Governance & Compliance:

Oversee and manage compliance with the Companies Act, 2013, SEBI regulations, and other applicable laws.

Maintain and update statutory records, registers, and filings, ensuring timely submission of annual returns, board resolutions, and other legal documents.

Ensure adherence to start-up-specific regulations, including fundraising and investor compliance.

  • Strategic Advisory:

Provide strategic legal and governance advice to senior leadership and the board.

Assist in drafting policies, procedures, and compliance frameworks aligned with the company’s growth trajectory.

Support in structuring mergers, acquisitions, and fundraising activities, ensuring regulatory readiness and due diligence.

  • Board and Shareholder Management:

Organize and manage Board and General Meetings, including agenda setting, minute preparation, and follow-ups.

Advise the board on key corporate governance matters and statutory obligations.

  • Legal & Contractual Oversight:

Draft, review, and negotiate contracts, agreements, MOUs, and other legal documents to mitigate risk and ensure compliance.

Monitor legal obligations and ensure adherence to licensing, intellectual property, and other relevant legal frameworks.

  • Regulatory Liaison:

Liaise with regulatory authorities such as MCA, SEBI, RBI, and other statutory bodies.

Prepare and manage audits, including secretarial, internal, and statutory audits.

Team Leadership and Mentorship:

Lead a small team or work cross-functionally with other departments to ensure compliance and governance.

Mentor and train junior team members or stakeholders on regulatory matters.

Skills and Qualifications:

Qualified Company Secretary (Member of ICSI) with a minimum of 5 years of experience in a similar role, preferably in a start-up or dynamic organization.

Comprehensive knowledge of corporate laws, SEBI regulations, and start-up compliance requirements.

Proven track record of handling board meetings, statutory filings, and regulatory correspondence.

Strong expertise in drafting legal documents and contracts.

Exceptional communication, problem-solving, and decision-making skills.

Ability to manage multiple priorities in a fast-paced, high-growth environment.

Experience with fundraising processes, investor compliance, and due diligence (preferred).
