Position Summary & Responsibilities:
The Associate Corporate Counsel position will report to the VP and General Counsel, R&D and Medical Affairs, and will be expected to provide a broad range of legal analysis, services, support and counsel, primarily in the areas of clinical and research contracts, medical education activities, and other general corporate and compliance matters. This role can be based in either Durham, NC or Salt Lake City, UT but cannot be remote.
- Drafting, negotiating and advising on a wide range of transactional matters, including but not limited to bioMerieux-initiated research agreements, investigator-initiated research agreements, collaboration agreements, clinical study agreements, research studies, and confidentiality agreements;
- Partnering with the Medical Affairs Department to support ongoing studies, operations and needs;
- Support to business development and M&A activities, including due diligence, maintenance of legal databases and handling document control matters;
- Advising on the interpretation of legal documents and applicable laws and regulations in a manner that provides practical legal advice while properly managing risk to the organization;
- Leading special projects as assigned and participating in cross-functional teams and committees while demonstrating leadership ability to colleagues and business partners;
- Working closely with other members in the Legal Department to ensure consistency in approach across areas of the overall business and providing support for areas outside of his/her primary areas of responsibility as needed (including some exposure to compliance, employment, import/export, FCPA, regulatory, bankruptcy, real estate, environmental, etc.);
- Staying abreast of and advising on changes in laws/regulations and industry trends affecting bioMérieux and its business, and assisting with development of policies and training as needed;
- Exposure to and a general understanding of intellectual property law and concepts, including licenses and technology issues;
- Management of outside counsel.
Education, Skills, & Experience:
- J.D. from a law school and bar admission (in good standing) required with 0 years of work experience required. Previous law firm and/or corporate legal experience is preferred.
- Prior experience in the healthcare device industry and/or software industry is a plus but not essential
- Ability to independently and effectively manage a substantial workload in cooperation with and support of other attorneys on a variety of time-sensitive legal matters.
- Excellent communication skills and credibility so as to interact effectively and influence management at all levels.
- Strategic legal thinking and capability of arriving at practical legal solutions.
- Exposure to and a general understanding of data privacy law, trends and concepts, including HIPAA and GDPR issues;
- Commercially-minded and solution-oriented with an ability to analyze legal situations, understand the facts and the client’s business position and efficiently assimilate information from a variety of sources.
