Aeries Technology is seeking a Company Secretary to ensure compliance for all group entities and maintain updated filings. The role involves conducting board and general meetings, issuing notices, drafting agendas, recording minutes, and maintaining statutory registers. The Company Secretary will also handle statutory filings as mandated by the Companies Act, research and implement the latest regulation changes, and manage compliances, particularly NBFC compliances, using an automated system. Responsibilities include representing the company before authorities like the Ministry of Corporate Affairs, Company Law Board, and RBI, conducting secretarial due diligence for M&A activities, managing procedural formalities for mergers and acquisitions, and attending to trademark, copyright, and patent applications. The role also involves completing ROC filings, director disclosures, KYC, renewals, FEMA compliances, and preparing transactional documents like resolutions for inter-corporate deposits, ESOPs, share transfers, loan agreements, and other compliance-related documents.
