Job Summary
The Corporate Paralegal – Real Estate will support real estate and legal teams. This role requires a detail-oriented self-starter with excellent communication skills, systems and process development (including use of AI and technology), and a strong understanding of real estate law and corporate governance. Responsibilities include preparing and filing entity formation documents, drafting and reviewing operating agreements, maintaining corporate records, assisting with real estate transactions, coordinating due diligence, and managing data rooms. The role also involves preparing signature packages, reviewing contracts, and supporting deal structuring. Additional tasks include drafting documents, filing UCC statements, ensuring compliance, managing databases, coordinating with external counsel, and designing AI-enabled tools.

Job Description
Responsibilities
- Prepare and file entity formation and qualification documents (LLCs, LPs, corporations) across multiple jurisdictions
- Draft and review operating agreements, bylaws, and other foundational documents
- Maintain corporate records and organizational charts
- Assist with entity dissolutions, mergers, conversions, and amendments
- Coordinate due diligence processes for real estate acquisitions, dispositions, financings, and development projects
- Order and review title reports, surveys, zoning reports, and other third-party materials
- Organize, track, and manage data rooms and closing checklists
- Prepare signature packages and assist in transaction closings
- Review and abstract key provisions of real estate contracts, leases, and loan documents
- Support real estate team in deal structuring
- Draft and revise basic transaction documents, such as NDAs, LOIs, and escrow instructions, under attorney supervision
- Prepare and file UCC financing statements, amendments, and terminations; conduct and review UCC and lien searches
- Monitor and ensure compliance with filing deadlines, annual reports, and other regulatory requirements
- Maintain databases and systems for document management and tracking legal matters
- Coordinate with external counsel and service providers as needed
- Partner with legal and engineering teams to design and deploy AI-enabled tools for document review, contract analysis, and knowledge management
- Develop, optimize, and document legal processes and workflows to improve efficiency, compliance, and cross-functional collaboration
- Evaluate, implement, and manage legal tech tools, including matter management, document automation, and compliance solutions
- Generate regular reports and metrics on legal team KPIs, contract turnaround times, and legal spend
- Coordinate with real estate, finance, and other departments to align legal processes with broader business operations
- Help build and maintain legal knowledge bases, FAQs, and self-service tools for internal stakeholders
Qualifications
- Bachelor's degree and paralegal certificate from an ABA-accredited program (or equivalent experience)
- 3–5+ years of experience as a paralegal in a law firm or in-house legal department, with a strong emphasis on real estate transactions and corporate governance
- Proficiency in Microsoft Office and experience with legal entity management platforms (e.g., CSC) is a plus.
- Exceptional organizational, communication, and interpersonal skills
- Ability to manage multiple projects in a fast-paced, collaborative environment
Compensation
- Compensation is location-dependent and will be aligned with market rates based on the candidate’s region.
