Job Description

Dataiku is seeking an experienced Director of Equity Administration to manage its global equity compensation programs. This role involves overseeing daily operations, ensuring compliance with domestic and international regulations, and partnering with legal, finance, and HR teams. The director will maintain equity database integrity, educate employees on equity programs, reconcile activity, manage vendor relationships, and support SEC reporting. This position reports to the Senior Director of Technical Accounting and External Reporting and includes one direct report.
Good To Have:

Must Have:
  • Oversee the day-to-day administration of global equity compensation programs (Options, RSUs, ESPP, and subsidiary stock plans)
  • Process and support grant, vesting, exercise, settlement, termination, and cancellation activity
  • Ensure compliance with relevant domestic and international laws and regulations regarding income and tax withholdings and reporting for stock awards
  • Partner with Dataiku’s Finance, Legal, and People teams to ensure accurate budgeting, financial reporting, and timely tax withholding, payroll, and compliance reporting
  • Ensure equity database integrity and accurate record keeping of employee and equity data within the stock administration system
  • Facilitate education of employees on Dataiku’s equity program(s)
  • Reconcile monthly, quarterly, and annual equity activity between equity database and general ledger, HR, payroll, Board approvals, transfer agents, and tax reporting
  • Own and maintain documentation of equity-related processes for external audits and compliance with internal controls
  • Manage vendor relationships with transfer agents, brokers, and other vendors involved in stock plan administration
  • Assist in the preparation of equity-related materials for the Board and Compensation Committee meetings
  • Provide employee stock-related input to quarter end and annual SEC reporting: Forms 3, 4 and 5 filings; data for 10-Q, 10-K, Proxy Statements and D&O questionnaires
  • Support the filing of section 16 filings (e.g., Form 4s) for section 16 officers and directors
  • Mentor more junior member(s) of the equity team
  • Bachelor's degree in accounting, business administration, finance, or similar field
  • 10+ years advanced experience working in equity administration, including 3+ years in a public company
  • Experience administering global equity compensation plans with international subplans and/or subsidiary plans
  • Advanced understanding of equity instruments, accounting standards, taxation, laws and regulations related to equity compensation, both domestic and international
  • People management experience
  • Strong ability to communicate clearly and concisely both verbally and in writing
  • Strong Excel skills, ability to leverage complex formulas and modeling
  • Ability to handle confidential information with discretion

In this role, you will oversee the day-to-day operational and administrative management of Dataiku’s equity compensation programs, including operational aspects of compliance, employee education, facilitating accounting, processing, financial and tax reporting and record-keeping. You will work closely with Dataiku’s Compensation, Legal, and Finance teams and others across the company to ensure all equity transactions are properly processed, accounted for and appropriate tax and regulatory filings are accurate and timely. The role will be a part of the Finance team and will report directly to the Senior Director of Technical Accounting and External Reporting. This role has one direct report.

Key responsibilities include:

  • Oversee the day-to-day administration of global equity compensation programs (Options, RSUs, ESPP, and subsidiary stock plans), including, but not limited to, processing and supporting grant, vesting, exercise, settlement, termination, and cancellation activity, as well as tax withholding, lock up restrictions and other plan-related operations
  • Partner with legal to ensure compliance with relevant domestic and international laws and regulations regarding income and tax withholdings and reporting for stock awards.
  • Partner with Dataiku’s Finance, Legal, and People teams to ensure accurate budgeting, financial reporting, and timely tax withholding, payroll, and compliance reporting.
  • Ensure equity database integrity and accurate record keeping of employee and equity data within the stock administration system (Morgan Stanley at Work).
  • Support efforts to scale the equity administration function through automation, process improvement, and partnership with service providers
  • Facilitate education of employees on Dataiku’s equity program(s) through the development and maintenance of communications, responding to employee inquiries, hosting Q&A sessions, and preparing training materials and leading training sessions as needed
  • Reconcile monthly, quarterly, and annual equity activity between equity database and general ledger, HR, payroll, Board approvals, transfer agents, and tax reporting
  • Own and maintain documentation of equity-related processes for external audits and compliance with internal controls
  • Manage vendor relationships with transfer agents, brokers, and other vendors involved in stock plan administration.
  • Assist in the preparation of equity-related materials for the Board and Compensation Committee meetings.
  • Participate in other compliance program development as needed
  • In coordination with the Legal team, provide employee stock-related input to quarter end and annual SEC reporting: Forms 3, 4 and 5 filings; data for 10-Q, 10-K, Proxy Statements and D&O questionnaires.
  • Support the filing of section 16 filings (e.g., Form 4s) for section 16 officers and directors.

Education/Skills/Experience:

  • Bachelor's degree in accounting, business administration, finance, or similar field
  • 10+ years advanced experience working in equity administration, including 3+ years in a public company
  • Experience administering global equity compensation plans with international subplans and/or subsidiary plans
  • Advanced understanding of equity instruments, accounting standards, taxation, laws and regulations related to equity compensation, both domestic and international.
  • People management experience and strong ability to communicate clearly and concisely both verbally and in writing
  • Strong Excel skills, ability to leverage complex formulas and modeling
  • Ability to handle confidential information with discretion
