PwC is seeking a Specialist in Investment Banking within the Corporate Finance and Investment Banking (CFIB) Advisory team. This role involves providing strategic financial advice for mergers, acquisitions, divestitures, and restructuring. Responsibilities include preparing pitches, executing deals through financial modeling and collateral preparation, managing investor outreach, conducting due diligence, and participating in negotiations. The specialist will help clients optimize capital structures and maximize value in complex business transactions.

Must Have

  • Prepare pitches and proposals for deal sourcing.
  • Execute deals: collateral preparation (financial models, IM, teasers, valuation).
  • Prepare investor lists and conduct marketing outreach.
  • Respond to investor queries during marketing and due-diligence.
  • Conduct industry research for market sizing and competition.
  • Join negotiation discussions on term sheets and deal closure.
  • Prepare engagement letters and assist with administrative tasks.
  • Participate in client and investor meetings and calls.
  • Mandatory skill: Investment Banking.
  • Education: MBA or CA.
  • Experience: 1-2 years.

Those in corporate finance at PwC will provide strategic financial advice and solutions to help clients navigate complex business transactions and optimise their capital structure. You will analyse financial data, conduct due diligence, and assist in mergers, acquisitions, and divestitures.

Our team offers strategic advice to investors and companies undertaking mergers and acquisitions or investment opportunities.

Responsibilities

· Preparing pitches / proposals for deal sourcing,

· Deal execution:

• Collateral preparation (complex financial models for M&A and funding transactions, information memorandum, teasers, valuation using different valuation approaches such as relative valuation, DCF, replacement cost, etc.),

• Preparation of investor long and shortlists and outreach for marketing,

• Preparation of responses to investor queries during marketing and due-diligence,

• Industry research for market sizing, competition landscape, research for trading and transaction comps, research for investor identification and outreach,

• Joining negotiation discussions on term sheets and documentation / deal closure.

· Preparation of engagement letters, assistance with internal administrative matters such as invoicing, approvals, etc.

· Participation in client and investor meetings and calls
