eBay is seeking a Senior Manager, Tax – Mergers & Acquisitions to join their U.S. Tax Planning team in San Jose. This role involves leading the full M&A lifecycle, from diligence and deal structuring to integration of acquired businesses into eBay’s global tax framework. The manager will provide strategic recommendations on transaction structures, manage diligence findings, and oversee integration activities, collaborating with various internal teams and external advisors to ensure business-aligned outcomes.

You will be a key leader across the M&A lifecycle — from LOI and diligence through signing, closing, and integration. In this highly visible role, you’ll drive critical tax decision-making, collaborate across functions, and lead the integration of acquired businesses into the global tax framework.

We’re looking for a professional with the experience, confidence, and leadership presence to guide cross-functional teams and external advisors, and to shape how transactions are executed and integrated.

What You’ll Be Doing

  • Lead full lifecycle M&A tax execution — providing input at LOI stage, directing diligence, driving deal structuring, and overseeing integration.
  • Partner with Corporate Development, Legal, Treasury, HR, and Finance to evaluate and execute mergers, acquisitions, divestitures, and strategic investments.
  • Provide strategic recommendations to senior leaders on optimal transaction structures (e.g., stock vs. asset deals, elections, reorganizations, cross-border strategies, Section 382 considerations).
  • Manage and present diligence findings, including exposure analysis.
  • Oversee integration of acquired companies, including intangibles integration, tax compliance, reporting, entity rationalization, and alignment with transfer pricing and financial processes.
  • Coordinate and challenge external advisors, ensuring high-quality, business-focused advice.
  • Prepare and review technical tax memoranda supporting structuring and purchase accounting positions.
  • Mentor and develop team members, fostering technical depth and execution excellence across the tax planning group.

What We Need To See

  • Bachelor’s degree in Accounting, Finance, Taxation, or related field (advanced degree or CPA/JD/LLM strongly preferred).
  • 8–12 years of U.S. and international M&A tax experience, ideally within a Big 4 or law firm and/or multinational corporate tax department.
  • Demonstrated leadership and decision-making ability, including leading deal workstreams and managing cross-functional teams.
  • Deep technical knowledge of consolidated return regulations, M&A and section 367 implications, Section 382, Subpart F, GILTI, FDII, FTCs, and purchase accounting impacts.
  • Strong project management skills with the ability to juggle multiple complex deals simultaneously in a fast-paced environment.
  • Excellent communication and executive presentation skills — able to simplify complex tax concepts for senior leadership.
  • Proven ability to drive integration activities and deliver practical, business-aligned outcomes.

The applicable base pay range for this position is dependent on work location. The base pay range in the San Francisco Bay Area, New York City Metro and Seattle Metro is expected in the range below:

$174,400 - $232,800

The base pay range for all other U.S. work locations is expected in the range below:

$132,000 - $212,000

Base pay offered may vary depending on multiple individualized factors, including location, skills, and experience. The total compensation package for this position may also include other elements, including a target bonus and restricted stock units (as applicable) in addition to a full range of medical, financial, and/or other benefits (including 401(k) eligibility and various paid time off benefits, such as PTO and parental leave). Details of participation in these benefit plans will be provided if an employee receives an offer of employment.
