Job Summary

The Contract Specialist will be responsible for drafting, reviewing, and negotiating various contracts, ensuring compliance, and collaborating with cross-functional teams to streamline procurement activities and maintain accurate records.
Must Have
- Draft, review, and negotiate various contracts (MSAs, SOWs, EULAs, NDAs, BAAs, order forms, amendments).
- Analyze existing contracts to identify key terms, obligations, and risks.
- Collaborate with legal, compliance, and risk teams for contract alignment.
- Coordinate contract approval workflows and obtain internal sign-offs.
- Facilitate contract execution using e-signature platforms.
- Utilize Contract Lifecycle Management (CLM) tools for tracking.
- Support contract renewals, extensions, and amendments.
- Understand contract clauses for data privacy, cybersecurity, and healthcare regulations.
- Partner with technology, business, legal, infosec, and data privacy teams.
- Ensure procurement activities comply with internal policies and external regulations.
- Maintain accurate records of contracts and audit trails.
- Bachelor’s degree in Business, Supply Chain Management, Law, or related field.
- 5-8 years in vendor contract drafting and negotiation.
- Proficiency in CLM tools (Intelagree, Icertis, Ironclad).
- Proficiency in ticketing management/workflow portals (ServiceNow, Jira).
- Proficiency in Microsoft Office Suite.
- Proficiency in procurement software (Workday ERP, SAP, Oracle, Coupa).
- Familiarity with ERP systems and data analysis tools.
- Experience with e-signature tools (DocuSign, Adobe Sign).
- Ability to set up and run meetings using Microsoft Outlook.
- Strong negotiation skills.
- Strong written and verbal communication skills.
- Detail-oriented with analytical thinking.
- Ability to manage multiple stakeholders and deadlines.
Good to Have
- Experience in global procurement or Legal supporting procurement working with international vendors
- Understanding of array of sourcing categories including consulting and professional services, facilities, equipment, IT Software, Hardware and Services contracts

Position Overview
Key Responsibilities
Contract Management
- Draft, review, and negotiate contracts including MSAs, SOWs, EULAs, NDAs, BAAs, order forms and contract amendments
- Read and analyze existing contracts to identify key terms, obligations, and risks
- Collaborate with legal, compliance, and risk teams to ensure contract alignment with regulatory standards
- Coordinate contract approval workflows and obtain necessary internal sign-offs
- Facilitate execution of contracts using e-signature platforms (e.g., DocuSign, Adobe Sign)
- Utilize Contract Lifecycle Management (CLM) tools to track contract status, obligations, and renewals
- Support renewals, extensions, and amendments
- Understand contract clauses relating to compliance with data privacy, cybersecurity, and healthcare regulations (e.g., HIPAA, PCI-DSS)
Cross-Functional Collaboration
- Partner with technology, business, legal, infosec, and data privacy teams
Compliance & Documentation
- Ensure procurement activities comply with internal policies and external regulations
- Maintain accurate records of contracts and audit trails
📊 Required Skills & Qualifications
- Education:
Bachelor’s degree in Business, Supply Chain Management, Law, or related field
- Experience:
5-8 years in vendor contract drafting and negotiation ideally in Legal or Procurement department, and preferably in services or fintech or healthcare sectors serving the United States of America and India
- Technical Skills:
- Proficiency in Contract Lifecycle Management tools (like Intelagree, Icertis, Ironclad, etc.), ticketing management / workflow portal (like ServiceNow, Jira, etc.) Microsoft Office Suite and procurement software (like Workday ERP, SAP, Oracle, Coupa)
- Familiarity with ERP systems and data analysis tools
- Experience with e-signature tools like DocuSign or Adobe Sign or native to CLM systems
- Setting up and running meetings using Microsoft Outlook
- Soft Skills:
