Reporting to the Manager, DOC Support - Contracts, the Contracts Specialist is a pivotal role responsible for providing critical, end-to-end contractual and operational support to the Sales team. This position manages all aspects of the contracts process from initiation to finalization, acting as a dedicated subject matter expert, proactive problem solver, and strategic thinker to effectively create capacity for the Sales team by expertly handling their diverse contractual needs.
Must have:
  • Manage the full lifecycle of contracts, from initial request to final execution.
  • Draft and critically review complex contractual documents, including Master Services Agreements, Amendments, service-specific master agreements, and intricate pricing schedules.
  • Expertly draft and review Statements of Work (SOWs), recommending strategic modifications.
  • Proactively identify and address disparities, gaps, or contradictions in business specifications within contracts.
  • Resolve complex business and operational matters by strategically weighing customer requirements against internal company policies.
  • Ensure all operational and business issues within contracts are thoroughly reviewed and approved by appropriate subject matter experts and the Legal Department.
  • Oversee the timely processing of contracts to efficiently close customer transactions, consistently meeting or exceeding established Service Level Agreements (SLAs).

Description:

Reporting to the Manager, DOC Support - Contracts, the Contracts Specialist is a pivotal role responsible for providing critical, end-to-end contractual and operational support to the Sales team. This position manages all aspects of the contracts process from initiation to finalization, acting as a dedicated subject matter expert, proactive problem solver, and strategic thinker to effectively create capacity for the Sales team by expertly handling their diverse contractual needs.

Responsibilities:

Comprehensive Contract Management & Drafting:

  • Manage the full lifecycle of contracts, from initial request to final execution, ensuring accuracy and adherence to company policies.
  • Draft and critically review a wide range of complex contractual documents, including Master Services Agreements, Amendments, service-specific master agreements, and intricate pricing schedules.
  • Expertly draft and review Statements of Work (SOWs), recommending strategic modifications to ensure continuity with company business practices and demonstrating a strong understanding and proficiency with legal acumen and specific requirements for complicated professional services projects.

Strategic Problem-Solving & Compliance:

  • Proactively identify and address disparities, gaps, or contradictions in business specifications within contracts or requests originating from the Sales team.
  • Employ a creative and strategic approach to problem-solving and issue resolution within a large organizational context, diligently seeking clarity on complex contractual issues from relevant business owners.
  • Expertly edit documents and implement non-standard language within contracts after obtaining necessary approvals, ensuring legal soundness and business alignment.
  • Resolve complex business and operational matters by strategically weighing customer requirements against internal company policies, striving to find optimal compromises that meet or exceed customer expectations while safeguarding company interests.
  • Ensure all operational and business issues within contracts are thoroughly reviewed and approved by appropriate subject matter experts (e.g., Product Management, Finance, Sales, Operations, etc.), senior management, and the Legal Department prior to finalization.

Operational Excellence & Support:

  • Oversee the timely processing of contracts to efficiently close customer transactions, consistently meeting or exceeding established Service Level Agreements (SLAs).
  • Contribute to various departmental projects and initiatives on an as-needed basis, lending expertise and support to drive broader team objectives.

Qualifications:

  • Language Proficiency: Mandatory fluency in English; preferred fluency in other international languages, with superior proficiency in both written and oral communication
  • Education/Experience: 3-year college degree with a minimum of 3-5 years of progressive contracts administration experience, demonstrating increasing responsibility and complexity.
  • Contractual Acumen & Training: Possess a deep and practical understanding of standard contract provisions (e.g., liability, confidentiality, indemnity, etc.), with the proven ability to effectively educate and guide Sales teams on such matters.
  • Drafting & Attention to Detail: Exceptional writing, editing, and proofing skills vital for drafting and modifying complex contractual documents, coupled with meticulous attention to detail, especially regarding grammar and formatting.
  • Customer Service & Organization: Strong customer service orientation, administrative, and organizational skills and experience.
  • Business Acumen & Translation: Demonstrated ability to gain a comprehensive understanding of projects through communications with Sales or by analyzing contractual documents, including Statements of Work. Possess strong business acumen to accurately interpret business specifications and operational requirements and translate them into clearly written, legally sound contractual documents.
  • Project Management & Influence: Strong project management skills with a proven ability to influence and achieve results through collaboration with others.
  • Adaptability & Efficiency: Ability to adapt quickly and effectively to changing workloads and business pressures.
  • Technical Understanding: General understanding of Software as a Service (SaaS) and licensed software technologies.
  • Partnership Support: Familiarity with providing contractual support for Reseller and Channel partnerships.
  • Work Ethic: Strong work ethic with a proactive attitude to accomplish assigned tasks within defined timelines.
  • Communication & Collaboration: Solid and professional communication skills; interpersonal skills are a key component of the role; must be able to build rapport and work collaboratively with internal and external business partners (e.g., Legal, Product Management, Sales, etc.).
  • Technical Tools: Ability to quickly learn new systems and software as needed. Familiarity with Google Suite, Microsoft Word skills, and a general understanding of Microsoft Excel and PowerPoint. Preferred experience in Salesforce.com.
  • Stakeholder Interaction: Comfortable and effective in interacting with all areas of the organization, including senior management.
  • Industry Experience: Prior experience directly supporting a commercial Sales team in a contractual capacity, preferably in a services or high-tech based industry; needs to be able to understand sales processes and adhere to internal procedures.
