The Corporate Legal Management aims to provide strategic legal support to the various support and business areas of Experian companies in the Spanish Latam region, ensuring legal and statutory compliance in corporate, mergers and acquisitions (M&A), labor, tax, and corporate governance matters in different countries. Its focus is on facilitating efficient company operations, mitigating legal risks, and supporting geographic growth initiatives and reorganizations. The role involves managing legal advice on corporate, M&A, labor, tax, and corporate governance issues, as well as designing and coordinating internal initiatives for the corporate management of Experian companies in the SPLATAM region, implementing regional and local corporate policies, and monitoring legal processes.

Must Have:
  • Provide legal concepts and opinions on assigned topics.
  • Ensure compliance with corporate obligations of companies in the region.
  • Accompany corporate reorganization, mergers and acquisitions (M&A) processes.
  • Legal management of contracts not related to purchases or clients.
  • Manage registration, renewal, and protection of trademarks and other intangible assets.
  • Support HR in implementing labor policies and managing individual cases.
  • Support Finance in tax matters.
  • Coordinate and supervise external firms on non-personal data regulatory legal matters.
  • Qualified lawyer with postgraduate degree in commercial, corporate, or related law.
  • Minimum 7 years of experience in legal advice to private commercial companies, with emphasis on corporate, company, commercial law, and M&A.
  • Required technical knowledge: Corporate law, commercial law, company law, M&A.
  • Advanced English.

The corporate legal management's main objective is to provide strategic legal support to the various support and business areas of Experian companies in the Spanish Latam region, ensuring legal and statutory compliance in corporate, mergers and acquisitions (M&A), labor, tax, and corporate governance matters in different countries. Its focus is on facilitating efficient company operations, mitigating legal risks, and supporting geographic growth initiatives and reorganizations.

The Management works cross-functionally with the internal Finance and Human Resources areas, coordinating attention from external legal advisors.

Purpose of the position:

Manage legal advice on corporate, mergers and acquisitions (M&A), labor, tax, and corporate governance issues; as well as design and coordinate internal initiatives for the corporate management of Experian companies in the SPLATAM region; the implementation of regional and local corporate policies; and, the monitoring of legal processes.

Responsibilities of the position:

1. Issue legal concepts and opinions on assigned topics.

2. Ensure compliance with the corporate obligations of companies in the region, ensuring adequate document management and compliance with local legal requirements.

3. Accompany corporate reorganization, mergers and acquisitions (M&A) processes, including internal review and coordination with external firms.

4. Legal management of contracts not related to purchases or clients.

5. Manage the registration, renewal, and protection of trademarks, as well as other intangible assets, in coordination with specialized external lawyers.

6. Support Human Resources in the implementation of labor policies and management of individual cases.

7. Support Finance in tax matters.

8. Coordinate and supervise external firms on non-personal data regulatory legal matters.

Qualifications

Profile:

Education: Qualified lawyer, with postgraduate degree(s) in commercial law, corporate law, or related fields.

Experience: A minimum of 7 years of experience in legal advice in or to private commercial companies, with emphasis on corporate law, company law, commercial law, and mergers and acquisitions (M&A) processes. Desirable experience in multinationals operating regionally.

Required technical knowledge: Corporate law, commercial law, company law, M&A, desirable knowledge in labor and tax law.

Languages: advanced English.
