Job Summary

Forescout is seeking an experienced Senior Corporate Counsel to join its global legal team, supporting the growth of its cybersecurity business. This role involves leading negotiations for complex commercial agreements, partnering with internal teams, and supporting the sales organization. The ideal candidate is a highly motivated, business-focused attorney with deep expertise in cybersecurity, commercial contracting, and enterprise technology transactions, possessing strong attention to detail and expert drafting skills, thriving in a fast-paced, global environment.

Must Have

  • Lead drafting and negotiation of strategic commercial agreements
  • Focus on enterprise-level outbound commercial agreements
  • Support DPAs and security addendums
  • Manage channel partner agreements (distributors, resellers, technology alliances)
  • Manage strategic technology partner agreements
  • Collaborate with cross-functional stakeholders (Deal Desk, Information Security, Product, Sales Operations)
  • Supervise, mentor, and develop junior legal professionals
  • Develop and enhance contract templates, fallback positions, and negotiation playbooks
  • BA/BS and Juris Doctor (JD) required
  • Licensed to practice in at least one U.S. state
  • 10+ years experience in-house or law firm supporting sales organization
  • Proven track record drafting and negotiating complex outbound commercial agreements
  • Significant experience with channel and reseller programs
  • Demonstrated knowledge of IP, data protection, and regulatory frameworks
  • Excellent legal and business judgment
  • Strong problem solving, project management, and process optimization skills
  • Strong communication, negotiation, and drafting skills
  • Ability to work independently and manage competing priorities

What You Will Do

Forescout is seeking an experienced Senior Corporate Counsel join our dynamic global legal team and support the continued growth of our cybersecurity business. In this high-impact role, you will lead the negotiation of complex commercial agreements, and partner with internal teams across the organization in support of our sales organization.

The ideal candidate is an experienced, highly motivated and business-focused attorney with deep expertise in cybersecurity, commercial contracting, and enterprise technology transactions with strong attention to detail and expert drafting skills, who thrives in a fast-paced environment and enjoys working cross-functionally at a global scale.

In this role, you will be responsible for the following:

  • Lead the drafting and negotiation of strategic commercial agreements, with a primary focus on enterprise-level outbound commercial agreements, and supporting agreements, such as DPAs and security addendums, as well as channel partner agreements (distributors, resellers, technology alliances) and strategic technology partner agreements.
  • Collaborate with cross-functional stakeholders, including Deal Desk, Information Security, Product and Sales Operations to drive the commercial contract review and approval process.
  • Supervise, mentor and develop junior attorneys and legal professionals, fostering professional development and ensuring high-quality legal work.
  • Develop, maintain, and enhance contract templates, fallback positions, and negotiation playbooks.
  • Support and manage a variety of other projects, as needed.

What You Bring to Forescout

  • BA/BS and Juris Doctor (JD) required; licensed to practice in at least one U.S. state.
  • 10+ years of experience in-house, at a law firm, or a combination of both, with a proven track record of directly supporting a sales organization drafting and negotiating complex outbound commercial agreements, as well as significant experience with channel and reseller programs.
  • Demonstrated knowledge of IP, data protection, and regulatory frameworks.
  • Excellent legal and business judgment with the ability to quickly assess material risks and find workable solutions, as well as strong problem solving, project management and process optimization skills.
  • Strong communication, negotiation, and drafting skills, with the ability to translate complex technical and legal concepts into practical business guidance.
  • Ability to work independently, manage competing priorities, and build productive relationships across a global organization.
  • Sense of humor, highly responsive, collaborative and service oriented.
