The Managing Counsel, M&A Americas will report to the Associate General Counsel, M&A, handling M&A transactions from inception to conclusion with a high degree of independence. This role involves structuring, reviewing, and negotiating key M&A documents, managing their lifecycle, and coordinating legal due diligence. The counsel will advise internal business partners on transactional legal risks, supervise regulatory filings, and support post-closing activities including integration and indemnity claims.

Must Have:
  • Successfully handle M&A transactions from inception to conclusion with a high degree of independence
  • Structure, review and negotiate key documents needed for M&A transactions
  • Manage lifecycle of various M&A documentation including, letters of intent, engagement letters, purchase agreements, transition services, agreements, licenses, and other deal documentation
  • Coordinate performance of legal due diligence with both internal and external resources
  • Advise internal business partners on transactional legal risks/issues and their potential impact on operations
  • Supervise and coordinate preparation and filing of any required merger control and other regulatory filings
  • Advise business on preparation of assets identified for divestiture
  • Support post-closing activities including integration of acquisitions, indemnity claims and releases, disputes arising out of prior transactions, and legal support of transition services teams
  • JD and licensed to practice law in the jurisdiction
  • Minimum of 5 - 7 years of progressively responsible M&A experience
  • Experience with a top-tier law firm
  • Solo negotiation of key documents and independent decision-making
  • Ability to function day-to-day with minimal guidance
  • Critical problem-solving skills

The Managing Counsel, M&A Americas position will report to the Associate General Counsel, M&A and will work closely with divisional and functional lawyers on M&A matters. The Managing Counsel, M&A Americas will preferably be located in New York, NY but other East Coast cities or Chicago will be considered. This role will partner closely with the global M&A and Corporate Development team.

BASIC FUNCTIONS AND PRINCIPAL RESPONSIBILITIES:

  • Successfully handle M&A transactions from inception to conclusion with a high degree of independence
  • Structure, review and negotiate key documents needed for M&A transactions
  • Manage lifecycle of various M&A documentation including, letters of intent, engagement letters, purchase agreements, transition services, agreements, licenses, and other deal documentation
  • Coordinate performance of legal due diligence with both internal and external resources
  • Advise internal business partners on transactional legal risks/issues and their potential impact on operations, including participation in presentations and updates to senior leadership
  • Supervise and coordinate preparation and filing of any required merger control and other regulatory filings
  • Advise business on preparation of assets identified for divestiture (including internal diligence, preparation of data rooms, review of marketing materials)
  • Support post-closing activities including integration of acquisitions, indemnity claims and releases, disputes arising out of prior transactions, and legal support of transition services teams

EDUCATION AND EXPERIENCE:

Candidates are required to have a JD and be licensed to practice law in the jurisdiction in which they are located. The successful candidate will have a minimum of 5 - 7 years of progressively responsible M&A experience, including experience with a top-tier law firm. This experience should include solo negotiation of key documents and independent decision-making. It is essential that a candidate be able to function day-to-day with minimal guidance, so problem-solving skills are critical. Prior experience with information solutions and/or SaaS businesses a plus. Prior in-house experience is also a plus, and preference will be given to candidates who have experience communicating with senior business partners.
