Job Summary
As Reflection's first dedicated technology transactions and strategic partnerships attorney, you will lead and scale the commercial legal function. This high-impact role involves designing legal and commercial frameworks for Reflection's go-to-market and partnerships strategy. You will be responsible for core commercial contracts, complex technology transactions (including GPU compute, data center infrastructure, and cloud partnerships), enterprise and sovereign-scale customer deals, strategic alliances, data-licensing arrangements, and intellectual property matters tied to the development and commercialization of frontier open-weights models. Success requires deep cross-functional collaboration with research, engineering, product, partnerships, GTM, infrastructure, and operations teams to structure deals, assess risk, and negotiate agreements that enable Reflection to responsibly build and distribute open frontier models globally.
Must Have
- Lead commercial and technology transactions for the company, including strategic partnerships, compute/GPU infrastructure agreements, enterprise and sovereign customer deals, joint development arrangements, revenue-sharing structures, data-licensing arrangements, and other mission-critical vendor relationships.
- Structure, draft, and negotiate complex, high-impact technology agreements that support model training, deployment, distribution, and commercialization across open-weights and enterprise ecosystems.
- Partner closely with research, engineering, infrastructure, product, GTM, and leadership teams to design legally sound and scalable deal structures that balance risk, safety, regulatory, and operational considerations.
- Advise on IP ownership, licensing, and commercialization strategies, including open-weights distribution, derivative works, co-development, and liability-allocation frameworks.
- Support and advise data, product, and partnerships teams on contract matters involving data rights, provenance, open-source/open-weights licensing, privacy, export-control considerations, and cross-border deployments.
- Serve as a cross-functional thought partner on enterprise readiness—including SLAs, security requirements, responsible-AI commitments, and safety-aligned contractual provisions.
- Build scalable internal contracting processes—such as templates, negotiation playbooks, approval workflows, and risk escalation paths—enabling the company to increase velocity and consistency across commercial workstreams while maintaining appropriate controls.
- Identify and mitigate regulatory, data-handling, export-control, and IP risks across contractual relationships, maintaining strategic awareness of emerging AI-safety frameworks, global AI model governance laws, U.S. export-control rules, and domestic and international privacy regimes.
- J.D. and active bar membership.
- 8–14+ years of experience within the technology transactions practice of a top-tier law firm and/or in-house at a leading technology, cloud, or AI company.
- Deep experience negotiating complex, bespoke and first-of-their-kind technology transactions, strategic partnerships, and IP-intensive agreements.
- Demonstrated ability to partner directly with engineering, research, infrastructure, and product teams on fast-moving technical and commercial initiatives.
- Strong working knowledge of IP licensing, data-licensing concepts, open-source and open-weights frameworks, privacy, and export-control considerations relevant to AI systems.
- Proven judgment in navigating risk tradeoffs in emerging or ambiguous legal areas.
- Exceptional drafting, negotiating, and deal-structuring skills, with strong calibration of commercial objectives and risk considerations.
- Ability to translate complex technical concepts into actionable, business-aligned legal guidance.
- Strong commercial judgment balancing risk, reputational considerations, regulatory exposure, and business goals.
- Excellent prioritization instincts and comfort operating in a high-velocity, early-stage environment.
- Collaborative working style and ability to influence stakeholders across technical and non-technical teams.

- Experience with AI/ML technologies, large-scale compute agreements, and/or open-weights model licensing.

About the Role
As our first dedicated technology transactions and strategic partnerships attorney, you will lead and scale Reflection’s commercial legal function. You will also have primary responsibility for all core commercial contracts, complex technology transactions (including GPU compute, data center infrastructure, and cloud partnerships), enterprise and sovereign-scale customer deals, strategic alliances, data-licensing arrangements, and intellectual property matters tied to the development and commercialization of frontier open-weights models.
