Job Summary

Pentair is seeking a Senior Counsel – Corporate M&A to support the legal strategy and execution of mergers, acquisitions, divestitures, joint ventures, and strategic investments. This role involves advising the corporate development team and senior leadership on strategic transactions, identifying risks, and ensuring alignment with corporate objectives. The counsel will also partner with the finance department on tax and treasury initiatives and support compliance with securities laws.

Must Have

  • Provide strategic counsel for transactions, including mergers, acquisitions, investments, strategic partnerships, joint ventures, and divestitures.
  • Partner with Pentair’s corporate development team and business unit leadership teams in implementing Mergers & Acquisitions (M&A) transactions and related projects.
  • Assist with drafting and negotiating M&A related transaction documents, including non-disclosure agreements, third-party advisor engagement letters, letters of intent and purchase agreements.
  • Oversee all aspects of M&A legal due diligence, including internal experts and outside counsel.
  • Support the legal department’s efforts on M&A integration activities.
  • Partner with Legal Support Specialists in managing the company’s domestic entity management processes and related compliance and organizational activities.
  • Support the company’s finance department with financing and capital markets transactions and tax and entity management strategies.
  • Assist with securities matters, including compliance with SEC rules and regulations, SEC filings and other securities reporting work.
  • Advise on antitrust compliance in connection with M&A matters.
  • Collaborate cross-functionally with finance, HR, tax, corporate controlling, and business teams.
  • Advise business leaders on legal risks while providing business-oriented solutions.
  • Juris Doctor (JD) from an accredited U.S. law school and licensed to practice law in Minnesota or eligible for admission within 6 months.
  • Minimum 5 years of corporate transactional legal experience.
  • Prior law firm experience required.
  • Demonstrated strong negotiation, drafting, and analytical skills.
  • Ability to manage multiple projects simultaneously and work both independently and as a highly effective member of a team.
  • Ability to build and foster strong business relationships and provide seamless collaboration at all levels across functional and matrix environments.
  • Exceptional communications skills, with experience developing presentation and written materials for executive-level audiences.
  • High integrity, sound judgment, and executive presence.

We have an opportunity for a Senior Counsel – Corporate M&A. You will support the legal strategy and execution of mergers, acquisitions, divestitures, joint ventures, and strategic investments. This role will serve as a trusted advisor to Pentair’s corporate development team and senior leadership on strategic transactions across the full transaction lifecycle, providing strategic legal advice, identifying critical risks, collaborating across functions, and ensuring alignment with corporate objectives. This role includes partnering with the finance department on key tax and treasury initiatives and support of Pentair’s compliance with securities laws and related requirements.

You will:

Key Qualifications:
