Legal Counsel

To improve our current results and reach new heights, we’re expanding our team and looking for a Legal Counsel.

What you will be doing:

1. Legal support of the company’s general business activities:

• Risk analysis in closing deals, drafting amendments, and negotiating contract terms;
• Drafting, legal review, and approval of business contracts (lease, supplies, subcontracting, services, etc.);
• Monitoring compliance with contractual obligations and resolving disputes with counterparties.

2. Legal support of software development with consideration of international law (USA, EU, and other jurisdictions):

• Drafting, reviewing, and negotiating software development agreements;
• Drafting and supporting license agreements;
• Drafting and reviewing software rights transfer agreements.

3. Advising company employees and assisting with intellectual property questions:

• Protection of copyrights for software products and digital content;
• Registration and protection of trademarks, copyrights, and other intellectual property rights.

4. Compliance with data protection legislation:

• Advising employees on ensuring that developed software complies with international data protection laws (GDPR, CCPA, and other regulations).

5. Development and implementation of internal legal documents:

• Assisting in the preparation and updating of job descriptions, internal policies, documents on trade secrets, personal data processing, and other internal regulations.

6. Monitoring legislative changes:

• Monitoring legal changes that affect the company’s operations;
• Creating recommendations for adapting company processes to new requirements.

7. Carrying out legal assignments from direct management to ensure the legal protection of the company’s activities.

What we’re looking for in a candidate:

• Law degree;
• 3+ years of experience as a legal counsel or senior legal counsel in private commercial organizations within the IT industry;
• Strong knowledge of the legislation of the Republic of Belarus (civil, tax, and intellectual property law) and ability to apply it in practice;
• Understanding of software development lifecycle processes in the context of legal support for software development, licensing, and transfer of software rights;
• Practical experience in applying international intellectual property law and data protection law, including drafting and reviewing software development agreements, license agreements, software rights transfer agreements, providing GDPR/CCPA compliance advice, and resolving legal disputes;
• English proficiency at upper-intermediate level or higher: experience in legal analysis, contract drafting, and business correspondence.
• Analytical thinking, responsibility, and a results-oriented approach. Ability to work effectively under high workload and maintain focus in stressful situations.
