Job Summary

We are looking for a senior lawyer in stock market law/corporate law to join Ubisoft's Corporate Legal/Stock Market Law/Governance Department. You will primarily contribute to legal missions related to the listed company, including preparing and organizing documents for the General Assembly, coordinating the Universal Registration Document (URD), monitoring regulatory disclosure obligations, assisting with Board of Directors meetings, deploying the Group's governance policy, conducting benchmarks and analyses in stock market law and governance, supporting international restructuring operations, and improving departmental processes and reporting tools.

Must Have

  • Contribute to legal missions related to the listed company.
  • Participate in the preparation and organization of documents for the General Assembly of the listed company.
  • Coordinate the work of internal and external contributors during the drafting of the Universal Registration Document (URD).
  • Monitor compliance with declarative obligations and the publication of regulated information.
  • Participate in the preparation of Board of Directors and committee meetings.
  • Deploy the Group's governance policy, ensuring proper application of internal procedural rules.
  • Design and carry out benchmarks, analyses, and drafting of notes in stock market law and governance.
  • Provide support to the Department in international restructuring operations and group transformation projects.
  • Contribute to the improvement and efficiency of the Department's processes and reporting tools.
  • Legal background in business law or equivalent with skills in stock market law.
  • Solid experience within a Corporate department of an international law firm or a Corporate legal department of a listed company in France.
  • Proficiency in English, both oral and written.
  • Excellent writing and interpersonal skills.
  • Dynamism, organization, speed, proactivity, rigor, situational intelligence, autonomy, involvement, analytical and synthetic mind, teamwork spirit, and ability to propose innovative and creative action plans.

JOB DESCRIPTION

We are looking for a senior lawyer in stock market law/corporate law to join our Corporate Legal/Stock Market Law/Governance Department of the Ubisoft Group.

Your main missions will be to contribute to legal missions related to the listed company.

In the context of this position, your main missions will be the following:

  • Participate in the preparation and organization of documents related to the General Assembly of the listed company (calendar, resolutions, convocation brochures, reports, arguments, publications, management of the shareholder list) as well as the implementation of resolutions (employee share ownership, capital operations, etc.)
  • Coordinate the work of internal and external contributors during the drafting of the universal registration document (URD)
  • Monitor compliance with declarative obligations and the publication of regulated information in the context of monitoring the shareholding of the listed company
  • Participate in the preparation of meetings of the Board of Directors and its committees (in particular, the Nominations, Remuneration and Governance Committee) as well as the preparation of governance Roadshows
  • Deploy the Group's governance policy: Ensure the proper application of internal procedural rules in this area, by drafting and monitoring delegations of power and/or signature
  • Design the realization of benchmarks, analyses and the drafting of notes in stock market law and governance / Monitor governance trends / Study and analyze new legislative or regulatory texts
  • Provide support to the Department in international restructuring operations / Support for the group's international transformation projects
  • Contribute to the improvement and efficiency of the Department's processes and reporting tools to enable operational and functional departments to have real-time access to relevant information in the exercise of their respective activities

The missions granted may vary according to the needs of the team and ongoing projects.

QUALIFICATIONS

Relevant experience

  • You have a legal background in business law or equivalent and possess skills in stock market law
  • You have solid experience within a Corporate department of an international law firm or a Corporate legal department of a listed company in France

Skills and knowledge

  • You are proficient in English, both oral and written.
  • You have excellent writing and interpersonal skills and are recognized for:
  • Dynamism, organization, speed, proactivity, rigor, and situational intelligence are qualities that describe you; you demonstrate autonomy and involvement, have an analytical and synthetic mind, as well as a sense of teamwork. You are capable of proposing innovative and creative action plans.
