Job Summary
The Commercial Counsel serves as a key legal advisor and business partner, providing expert guidance on commercial, vendor, and compliance matters. This role involves drafting, reviewing, and negotiating various commercial agreements, including customer, partner, vendor, and data privacy contracts, ensuring alignment with company risk tolerance and business objectives. The Commercial Counsel acts as the first point of legal escalation for regional issues, supports cross-functional initiatives, and contributes to legal policy development, training, and operational efficiencies, balancing legal risk with practical business judgment.
Must Have
- Draft, review, and negotiate commercial agreements (customer, partner, vendor, data privacy).
- Serve as a trusted advisor to regional channel and go-to-market teams.
- Manage legal risk and ensure compliance with relevant laws and Mimecast policies.
- Act as the first point of escalation for legal matters from Commercial Contract Managers.
- Collaborate with cross-functional teams (sales, procurement, product, compliance, finance).
- Develop and deliver training and guidance on legal topics and contract best practices.
- Contribute to the creation and refinement of legal templates, policies, and processes.
- Advise on data privacy and security obligations relevant to commercial transactions.
- Licensed Attorney with 5+ years of post-qualification experience.
- Strong working knowledge of data privacy laws (GDPR, CCPA).
- Ability to manage multiple priorities in a fast-paced, global environment.
- Demonstrated skill advising business teams on legal and commercial risks.

The Business Legal Team, serves as a key legal advisor and business partner, providing expert guidance on a wide range of commercial, vendor, and compliance matters across the organization. This role is responsible for drafting, reviewing, and negotiating commercial agreements—including customer, partner, vendor, and data privacy contracts—ensuring alignment with company risk tolerance and business objectives. Acting as the first point of legal escalation for regional issues, the Commercial Counsel supports cross-functional initiatives, and contributes to the development of legal policies, training, and operational efficiencies. By balancing legal risk with practical business judgment, this position plays a pivotal part in driving the company’s growth and maintaining robust legal compliance in a dynamic, fast-paced environment.
What You'll Do:
- Draft, review, and negotiate commercial agreements (customer, partner, vendor, and data privacy contracts).
- Serve as a trusted advisor to regional channel and go-to-market teams, addressing legal and business issues.
- Manage legal risk and ensure compliance with relevant laws, regulations, and Mimecast policies.
- Act as the first point of escalation from Commercial Contract Managers regarding legal matters within assigned regions.
- Collaborate with cross-functional teams (sales, procurement, product, compliance, and finance) to support business objectives.
- Develop and deliver training and guidance on legal topics, risk management, and contract best practices.
- Contribute to the creation and refinement of legal templates, policies, and processes to drive operational efficiency.
- Advise on data privacy and security obligations relevant to commercial transactions.
- Support dispute resolution and pre-litigation matters as needed.
- Monitor and communicate legal, regulatory, and industry developments impacting the business.
- Champion a solutions-oriented, business-enabling approach, balancing legal risk with commercial priorities.
What You'll Bring:
- Licensed Attorney (MA, NY, MN, or DE preferable)
- 5+ years of post-qualification experience, preferably in the technology or SaaS sector.
- Proven experience drafting, reviewing, and negotiating commercial contracts (including SaaS/cloud, licensing, channel, and data privacy agreements).
- Strong working knowledge of data privacy laws (such as GDPR, CCPA)
- Ability to manage multiple priorities and work effectively in a fast-paced, global environment.
- Demonstrated skill advising business teams on legal and commercial risks.
- Excellent communication, presentation, and interpersonal skills.
- Experience collaborating with cross-functional teams (sales, procurement, product, finance, compliance).
- Sound judgment and pragmatic problem-solving approach to enable business while managing risk.
- Strong organizational skills and attention to detail.
- Proficiency with legal technology tools and contract management systems is a plus.
This position entails strict adherence to all applicable privacy and security standards and regulations. Responsibilities include the protection of information, upholding confidentiality, and conducting all activities in alignment with Mimecast’s policies. Completion of relevant role-based security and privacy training is a requisite for this role.
The base salary range for this position is $100,000−$150,000 plus benefits. This range represents the minimum and maximum new hire compensation for this role. The position may also be eligible for incentive plans and additional benefits, in accordance with company policy and local regulations. Our salary ranges are determined by role, level, and location with individual compensation also dependent on factors such as qualifications, experience, and skills. Final offers will reflect these considerations and may vary accordingly.
