Summary of the position
The Legal and Contracts Manager will be responsible for negotiating and executing contracts for various projects varying in scope and complexity, across the entire scope of activities of the Avionics and Research and Technology divisions, as well as for certain corporate activities.
Main Responsibilities
Reporting to the Legal Director, the Legal and Contracts Manager is responsible for (1) negotiating and executing assigned contracts in compliance with terms and conditions; (2) providing contractual and legal support to other internal departments such as Purchasing, Project Management, Sales and Marketing, Engineering; and (3) providing the necessary support for the implementation and compliance of Group activities, including the deployment of any new governance instruction or process.
More specifically, the Legal and Contracts Manager will be responsible for:
Contracts Activity
- Ensure proper contract administration throughout their lifecycle, from negotiation to archiving.
- Draft, negotiate, and manage the execution and evolution of all types of agreements: confidentiality agreements, preliminary agreements, sales and service contracts, software licenses, collaboration and R&D (Research & Development) agreements, etc., consistent with the interests and stakes of the activity.
- Provide support to purchasing for the review and negotiation of contracts with our suppliers. Ensure the flow-down of client contract terms and conditions to suppliers while preserving the company's interests.
- Actively participate in the analysis of new regulations affecting the business unit and help deploy internal guidelines and amendments to take into account new requirements.
- Establish and maintain a strong relationship with internal and external clients.
- Communicate contract-related information to teams.
- Regularly participate in awareness/training actions for internal clients.
Support for Offers and Projects & Operations
- Participate in the Offers and Projects process: risk analysis, sales support in the preparation of medium to high complexity offers and commercial proposals.
- Prepare legal and contractual memos in support of the internal offer approval process.
- Analyze risks and opportunities, in collaboration with other involved stakeholders of the business unit, and provide pragmatic recommendations.
- Support the negotiation of financial, technical, and operational terms and ensure they are clearly reflected in the contracts.
- Stay informed of project developments by attending program meetings and those with clients, maintaining links with internal teams.
- Constantly review the financial, legal, and technical obligations of contracts and ensure their compliance within the framework of project execution. Identify deviations, risks, and opportunities. Frame changes or project evolution and formalize them in the contract as needed.
- Manage files, documentation, and correspondence related to contracts.
Compliance
- In collaboration with the Compliance Officer, ensure and support activities required by the Group's Compliance Program related notably to ethics, preventive measures against corruption (third-party integrity assessment processes), control of approval requests for sponsorships and memberships.
- Manage requests and activities related to Personal Data Protection.
- Support the Personal Data Correspondent of the business unit/region by contributing to the analysis of contracts and procedures related to personal data protection (GDPR & PIPEDA) and by completing the Smart Global Governance tool to record personal data processing.
- Ensure regulatory watch and contribute to legal expertise, particularly on environmental and social aspects impacting our activities, Cybersecurity, and AI issues.
- Support periodic internal and external audits.
Minimum Qualifications
- 3 to 7 years of experience related to contract management in an international environment.
- Possess a demonstrated legal background, with practical experience in business consulting.
- Proactive, rigorous, and autonomous, you effectively manage your priorities, demonstrate analytical and synthesis skills, and propose pragmatic solutions.
- Bilingual French-English. This position requires a good knowledge of English to interact, assist, and/or provide services to international clients, employees, and/or partners, as well as foreign governmental authorities who do not speak French.
- You enjoy sharing your best practices in a collaborative spirit.
- You are also comfortable with technical and operational aspects, and possess excellent listening and communication skills.
- You understand the issues associated with compliance (anti-trust/anti-corruption/personal data) and are familiar with intellectual property issues.
- You are perfectly proficient in IT tools, notably Excel, Word, PowerPoint, and data exchange platforms.
- Experience in the aerospace sector or a similar industry in complex contract administration.
- Member of the Quebec Bar (an asset).

Specific Job Requirements
Travel: 1 to 4 times per year
The reference Total Target Compensation (TTC) market range for this position, inclusive of annual base salary and the variable compensation target, is between 74,970.00 - 137,163.74 CAD Annually.
This reflects how companies in a similar industry and geographic region generally pay for similar jobs. This range helps the Company make pay decisions as one data point among many. Where a position falls within this range is also dependent on other factors including – but not limited to – the employee’s career path history, competencies, skills and performance, as well as the company’s annual salary budget, the customer’s program requirements, and the company’s internal equity. The company may offer additional benefits and other compensation, depending on circumstances not related to an applicant’s status protected by local, state, or federal law.
