Commercial Legal Counsel

IMC is seeking a Commercial Legal Counsel with 5+ years of experience in commercial contracting to join their legal team in Mumbai, India. The role involves drafting, negotiating, and reviewing various commercial agreements, as well as advising on contractual risks and supporting general in-house legal matters like privacy, employment, and corporate governance. Must Have

• Draft, negotiate, and review commercial contracts (technology, consulting, finance)
• Advise on contractual risks and propose mitigation strategies
• Review and draft policies and procedures
• Support general in-house legal matters (corporate governance, privacy, employment law)
• 5+ years of experience in commercial contracting work
• Bachelor’s (LL.B) or Master’s (LL.M) degree in Private Law
• Excellent written and verbal communications skills in English

We are seeking a Commercial Legal Counsel to join our legal team. The primary focus of this position will be on reviewing, drafting, and negotiating commercial arrangements. We are looking for someone who is also eager to engage in a wide range of general in-house legal matters, including privacy, employment and corporate matters.

The candidate must be nimble in applying legal concepts to solve problems, and have a detail-oriented, hands-on approach to both legal and business challenges is essential.

YOUR CORE RESPONSIBILITIES

• Draft, negotiate, and review commercial contracts, including technology agreements, consulting agreements, finance agreements and other business and legal arrangements.
• Advise stakeholders of potential risks in contractual areas and propose risk mitigation strategies.
• Review existing policies and procedures, identify areas for continuous improvement; formulate and draft policies and procedures, as required.
• Demonstrate a willingness to support other general in-house legal matters, such as corporate governance, privacy, and employment law, as needed.

YOUR SKILLS AND EXPERIENCE

• Bachelor’s (LL.B) or (preferred) Master’s (LL.M) degree in Private Law from a recognized and accredited law school
• 5 years law firm experience or prior in-house experience in the financial services industry is preferred.
• Apply legal concepts to problem-solve in a nimble and pragmatic manner.
• Detail-oriented, commercial, and hands-on approach to both legal and business issues.
• Strong analytical, problem-solving, and communication skills.
• Excellent written and verbal communications skills in English.
• Ability to work independently and collaboratively in a fast-paced environment.
