Job Summary

symplr is seeking a Contract Manager to join its Legal team. This role serves as an initial point of contact for legal matters, focusing on day-to-day contract preparation, redlining, and negotiation. The manager will draft, review, analyze, and negotiate various agreement types, including customer, distribution, business partner, consulting, and software services contracts. Responsibilities also include identifying and escalating issues, analyzing risk, ensuring compliance with policies, and providing guidance on contract positions, working independently while knowing when to seek attorney guidance.

Must Have

  • Drafting, reviewing, redlining, analyzing and negotiating contracts
  • Identifying and analyzing risk, determining the level of risk and required escalations appropriately
  • Consulting on legal and business provisions in contracts
  • Monitoring compliance with internal Company business and legal processes and policies
  • 7+ years of corporate legal department or law firm experience
  • Bachelor's degree or equivalent experience
  • 2+ years' experience reviewing and revising complex commercial contracts

Overview

symplr is seeking a Contract Manager to join our Legal team. The Contract Manager serves as an initial point of contact for many legal matters within the business unit and/or sub-business units, providing day-to-day contract preparation, redlining and negotiating activities, counseling and issue identification and escalation to supervising attorneys, as appropriate. Drafts, reviews, analyzes and negotiates contracts and provides guidance on contract positions to ensure successful completion or resolution, with escalation to supervising attorney as necessary. Agreement types may include, without limitation, customer contracts, distribution contracts, business partner agreements, consulting services agreements and software services agreements. Able to work independently and assess when to seek guidance of supervising attorneys.

Duties & Responsibilities

  • Drafting, reviewing, redlining, analyzing and negotiating contracts; identifying, analyzing, researching, and resolving legal and business process issues and making appropriate recommendations to business and supervising attorney.
  • Identifying and analyzing risk, determining the level of risk and required escalations appropriately.
  • Consulting on legal and business provisions in contracts; Coordinating contract approval and enforcement of delegations of authority as needed.
  • Monitoring compliance with internal Company business and legal processes and policies.
  • Preparing legal presentations for the senior attorneys and presenting to senior business unit leaders, as applicable.
  • Preparing contract summaries and/or issues lists to present to supervising attorney or business unit partners for review, if applicable.
  • Demonstrating comprehensive understanding of Company business units (BUs), products, strategy, and operational model.
  • Recommending and implementing contracting policies, procedures and processes.
  • Coordinating with colleagues to identify regulatory issues, assess business impact risk and communicate same to business partners
  • Working under supervision of supervising attorneys and exercising independent judgment in escalating issues within broadly defined practices and policies.

Skills Required

  • Excellent writing and verbal communication skills.
  • Ability to work effectively with business unit leaders and promote the reputation and integrity of Company and the Company legal department.
  • Proficient in Office word processing programs or equivalent programs.
  • Strong written and verbal communication skills; must be able to effectively communicate to all levels of staff up to executive management

  • 7+ years of corporate legal department or law firm experience.
  • Bachelor's degree or equivalent experience.
  • Experience working in a healthcare regulatory environment preferred, including Federal Anti-Kickback Laws.
  • 2+ years' experience reviewing and revising complex commercial contracts.
