We are looking for a Senior Lawyer with a focus on VC and PE.

Your main tasks will be:

• Structure and negotiate early-stage deals, including SAFEs, convertible notes, and priced equity rounds (Seed to Series C) across multiple portfolio companies.
• Draft and review term sheets and shareholder agreements, ensuring alignment with founder and investor expectations.
• Advise on cap table management, equity splits, and dilution scenarios for new and follow-on investments.
• Conduct legal due diligence for investments, acquisitions, or internal restructuring across the studio’s portfolio.
• Establish and refine corporate governance frameworks for each venture, including board composition, voting rights, and protective provisions.
• Navigate exit strategies, including trade sales, secondary transactions, and internal buyouts, with legal documentation and strategic guidance.
• Mitigate legal risks early by standardizing templates, processes, and compliance measures across ventures.
• Support portfolio companies with legal guidance on fundraising, M&A opportunities, and investor relations.

We expect from you:

• 3+ years of experience as a lawyer in international IT companies.
• Strong knowledge of corporate structuring, incorporation, governance, and shareholder rights across multiple jurisdictions.
• Expertise in SAFEs, convertible notes, preferred equity rounds (Series A–C), and equity split mechanics.
• Ability to draft, review, and negotiate term sheets and investment agreements aligned with market norms.
• Hands-on experience conducting and managing legal due diligence for investments, acquisitions, and restructuring.
• Proficiency in analyzing, modeling, and advising on cap tables, including dilution scenarios and waterfall models.
• Deep understanding of governance rights, board structures, voting rights, and investor protections.
• Fluent English and Russian.
