About The Job

We are currently seeking a Senior Executive/Associate Legal Counsel, reporting directly to deputy Legal Counsel and join our GBS Legal Team based in Noida.

Required to assist on a day-to-day basis on general corporate legal matters that arise for the Group’s subsidiaries and affiliates. Areas of emphasis include global subsidiary management and maintenance, record book management and maintenance, corporate governance, general corporate legal support and administration.

Roles and responsibilities:

  • Global subsidiary management and maintenance (including supporting preparation for and organization of Board of Directors meetings, drafting of annual report and related documentation, supporting preparation for and organization of annual general meeting, securities, etc.
  • Record book management and maintenance; maintenance of corporate profiles and organization charts for legal entities, officers and directors.
  • Maintenance of Galexy-Legal Suite for Entities Management & Litigation.
  • Formation of legal entities
  • Drafting & Management of Power of Attorney
  • Certification and legalization of documentation; drafting of company secretary’s certificates
  • Legal department budgeting/invoicing/expense tracking support
  • Assisting the Corporate Legal Team with defining and implementing the Group corporate governance principles
  • Assisting the Corporate Legal Team with drafting and negotiating internal restructuring transactions (if required)
  • Providing legal support to internal clients on corporate legal matters (e.g. Finance, HR, Corporate Real Estate, Communications, etc.)
  • Preparation of Training Materials for Directors and other stakeholders on need basis.
  • Open to work in other Legal Domain.
  • Liasoning with International Law Firms.
  • Support in standardization of process and procedures.


About You

  • Qualified Company Secretary
  • 2-4 years of professional experience as a Company Secretary in an international law firm or a Company
  • Significant experience in entity management and corporate governance.
  • Excellent written and spoken English communication skills and Computer skills.
  • Experience in one or several foreign corporate law systems (nice to have but not essential)
  • Indian Law Degree (nice to have but not essential).


Knowledge and skills:

  • Consistently striving for improvements in process and working practices.
  • Able to work proactively under own initiative, prioritize, handle time pressure and manage multiple projects at the same time with flexibility to adapt to shifting expectations.
  • Well-organized and confident, with excellent planning skills.
  • Share Point knowledge (O365).
  • MS office.
