  • Manage price adjustments post-transaction and resolve disputes.

Job Description & Summary

In the PwC Transaction Services team, you will work alongside the top management of companies and investment funds to solve complex business challenges, from strategy definition to execution. In particular, within M&A operations in the industrial sector, you will play a key role in Financial Due Diligence, following the entire process:

Pre-deal: preliminary analysis of the potential transaction

Negotiation: support in determining the purchase price

Post-deal: management of price adjustments and evaluation of the financial implications of the operation.

TS Core

You will play a crucial role in the financial analysis of extraordinary operations, focusing on:

  • In-depth analysis of management, accounting, and financial data (trend analysis, KPIs, business ratios);
  • Evaluation of company performance, monitoring profitability, working capital, indebtedness, and cash flows;
  • Identification of risks and opportunities related to the operation, providing strategic insights to clients;
  • Definition of bridges between management and accounting data, ensuring transparency and consistency in numbers;
  • Support for the construction of financial models for simulating the impacts of the transaction.

SPA (Sales and Purchase Agreement)

The SPA group supports client companies in the various phases of the transaction.

  • Before execution: analysis of the results of financial, tax, and legal due diligence, definition of the SPA structure, and calculation of the EV to Equity Bridge;
  • During negotiation: technical support for discussion with the counterparty, focus on key elements such as debt, working capital trends, and cash generation;
  • After the transaction: management of price adjustments provided for in the contract, possible appointment as an Expert (pursuant to art. 1349 c.c.) for the resolution of disputes on price elements.

Your unique strengths

  • At least 4/5 years of experience in Audit, Transaction Services, or Financial Due Diligence at consulting firms, auditing firms, or financial boutiques
  • Master's Degree in Economics or related disciplines
  • Solid accounting skills and knowledge of reference principles (Italian GAAP, IFRS)
  • Balance sheet analysis, evaluation of deviations, margins, working capital, and net financial position
  • Familiarity with cash flow calculation methodologies and company valuation
  • Excellent knowledge of the English language (study/work experiences abroad are a plus)
  • Digital mindset with solid analytical and technological skills
  • Aptitude for problem-solving and managing complex projects
  • Excellent interpersonal and communication skills, with a strong team spirit
  • Availability for national and international mobility
