Work with the FDD team to understand the key risk areas and value drivers of the target business in the context of an M&A transaction.
Analyze the impact of risks and value drivers on deal pricing (headline price or other adjustments).
Review the sale and purchase agreement from a financial and accounting perspective. In particular, advise the client on the appropriateness of the price adjustment mechanism (locked box vs. completion accounts), leakage protection and locked box interest (for locked box transactions), conditions precedent and pre-completion covenants, financial indemnities and warranties, seller's liability thresholds and cap, earn out mechanism, completion accounts process, price adjustment dispute resolution process, related accounting definitions and accounting principles that drive the preparation of completion accounts.
Support business development initiatives such as exploring opportunities with clients, preparing thought leadership articles and organising client workshops on SPA.
About you:
Possesses a Degree in Accounting or Business equivalent from a recognised university, or Professional Accounting qualification(s)
More than 3- 8 years of relevant work experience, preferably in a Big 4 accounting firm
Ability to work on multiple projects and prioritize tasks in a fast paced environment.
Comfortable with public speaking and confident in conducting training workshops and seminars
Driven and able to engage clients in exploring business opportunities
Outspoken, analytical, strong business acumen and able to thrive in unstructured environment
Write succinct, well-structured reports and have good command of written and spoken English
