As a Senior Corporate Law Clerk, you will be part of a legal and compliance team supporting Marsh McLennan’s businesses in Canada. Your responsibilities will include reviewing, negotiating, and drafting client engagement letters, managing security clearance programs, providing corporate secretarial support such as minute book management, drafting resolutions, handling annual corporate returns, and liaising with global colleagues on corporate governance matters. This role requires working at least three days a week in the office. The work environment is fast-paced and requires a proactive approach to risk mitigation and legal problem-solving.
Must have:
  • 3-5 years of corporate clerk experience.
  • Member of the Institute of Law Clerks of Ontario.
  • Excellent verbal and written communication skills.
  • Ability to work independently and in a team.
  • Demonstrated project management skills.
Good to have:
  • Bilingual English & French language capability

Description:

We are seeking a talented individual to join our Legal, Compliance, and Public Affairs team at Marsh McLennan. This role will be based in Toronto, and it is a hybrid role with a requirement of working at least three days a week in the office.

As a Senior Corporate Law Clerk, you will be a member of a small, collegial legal and compliance team that supports Marsh McLennan’s businesses in Canada, including, Marsh Canada and Mercer Canada as well as functional areas including Human Resources, Finance, Real Estate/Facilities and Compliance.  This position reports to the Assistant General Counsel for Canada.  

We will count on you to:

  • Review, negotiate and draft client engagement letters, RFP responses and non-disclosure agreements.
  • Manage Federal and Ontario government security clearance programs
  • Corporate Secretarial support for the portfolio of entities, including
    • Minute Book management
    • Drafting resolutions
    • Annual corporate returns and filings
    • Licensing matters
  • Liaise with global colleagues on corporate governance matters

What you need to have: 

  • Minimum of 3-5 years of corporate clerk experience at a major law firm or corporate legal department, with the willingness to provide a broad range of legal support in a rapidly paced business
  • Member of the Institute of Law Clerks of Ontario
  • Excellent verbal and written communication skills
  • Ability to work independently and with colleagues within a team environment
  • Proactive and practical approach to risk mitigation and legal problem solving
  • Demonstrated project management skills and ability to excel in a high volume environment.
  • Detail oriented with a high level of accuracy in work product
