The Contracts Specialist Associate will manage, draft, and review standardized contracts for US-based clients within a BPO/KPO/ITO setting. Responsibilities include preparing and reviewing various contract types such as MSAs, SOWs, BAAs, and NDAs, ensuring they comply with US contract law. The role involves coordinating with Legal, Finance, Operations, and Sales to validate pricing and deliverables, tracking contract milestones, identifying risks, and maintaining a contract repository. The specialist will also act as a point of contact for contract-related queries and contribute to improving contract templates and processes.
Must have:
  • Experience in contract drafting, review, or lifecycle management in BPO/ITO/KPO.
  • Familiarity with US market contract requirements and basic US contract law.
  • Proficiency in MS Office (Word, Excel, PowerPoint).
Good to have:
  • Paralegal certification or relevant contract management qualifications.
  • Experience with Contract Lifecycle Management (CLM) tools or document management systems.

About the Role

We are looking for a Contracts Specialist Associate to manage, draft, and review standardized contracts for US-based clients in a BPO/KPO/ITO environment. This role requires a mix of legal expertise and operational efficiency, ensuring compliance with US contract laws, internal policies, and service-level standards.

As part of our Legal & Contracts team, you will collaborate with stakeholders across Legal, Finance, Operations, and Sales to ensure smooth contract execution, mitigate risks, and maintain high data integrity.


Key Responsibilities

Contract Drafting & Review

  • Prepare, review, and finalize Master Service Agreements (MSAs), Statements of Work (SOWs), Business Associate Agreements (BAAs), and Non-Disclosure Agreements (NDAs) using standard templates.
  • Ensure contracts are clear, consistent, and compliant with US contract law best practices.

Operational Coordination

  • Work closely with Legal, Finance, Operations, and Sales to validate pricing, scope, and deliverables.
  • Track key contractual milestones such as renewals, amendments, and terminations to ensure timely actions.

Risk Management & Compliance

  • Identify potential legal and commercial risks in contracts and escalate complex issues to senior legal counsel.
  • Recommend amendments or additional clauses to mitigate risks while maintaining business objectives.
  • Ensure compliance with US legal and regulatory requirements relevant to the company's services.

Contract Lifecycle Management (CLM)

  • Maintain a structured contract repository (digital/physical) for easy reference and audit readiness.
  • Update internal databases with contract status and generate performance reports & key metrics.

Stakeholder Communication & Collaboration

  • Act as a point of contact for contract-related queries from internal teams and US-based clients.
  • Facilitate smooth communication across teams for contract clarifications, modifications, and approvals.

Continuous Improvement & Learning

  • Contribute to enhancing contract templates, processes, and workflows to improve turnaround time.
  • Stay updated with US contract law trends and best practices to optimize contract management strategies.

Qualifications & Experience

Education:

  • Bachelor’s degree in Law (LL.B.), Business Administration, Commerce, or a related field preferred.
  • Paralegal certification or relevant contract management qualifications is a plus.

Experience:

  • 2–5 years of experience in contract drafting, review, or contract lifecycle management in a BPO, ITO, KPO, or shared services setup.
  • Familiarity with US market contract requirements & basic US contract law is highly desirable.

Technical Skills:

  • Proficiency in MS Office (Word, Excel, PowerPoint).
  • Experience with Contract Lifecycle Management (CLM) tools or document management systems is a plus.

Soft Skills:

  • Excellent written & verbal communication skills to collaborate with US-based clients and internal teams.
  • Strong organizational abilities to manage multiple contracts and deadlines efficiently.
  • High attention to detail to ensure contract accuracy and compliance.
  • Analytical mindset to identify risks and suggest contract improvements.
