Job Description

Diligent is seeking a skilled Corporate Services Specialist to join their UK-based team, offering comprehensive global corporate secretarial and compliance services to international clients. The role involves leading statutory document preparation and filing, maintaining company records, and ensuring compliance with Companies Act requirements. Responsibilities include overseeing board and shareholder meetings, drafting resolutions and minutes, acting as a trusted advisor to clients on governance and regulatory matters, and building strong client relationships. The specialist will also manage compliance processes, identify and mitigate risks, and drive corporate restructuring and entity lifecycle events. Experience in managing client relationships and supporting cross-border transactions is crucial.
Must have:
  • Strong knowledge of corporate law, governance, and international structures
  • Excellent drafting, documentation, and communication skills
  • Proficiency in Diligent Entities, Microsoft Office, and interpreting financial statements
  • Detail-oriented with strong problem-solving and organizational abilities
  • Proven experience managing client relationships and supporting cross-border transactions
  • Ability to juggle multiple priorities with professionalism, discretion, and a collaborative mindset

Position Overview

We are seeking a skilled Corporate Services Specialist to join our UK based team, providing comprehensive global corporate secretarial and compliance services to a diverse portfolio of international clients. This role requires a detail-oriented professional with strong technical knowledge of corporate governance, regulatory compliance, and company secretarial practices.

Key Responsibilities:

  • Corporate Governance & Compliance
    Lead the preparation and filing of statutory documents, maintain company records, and ensure compliance with Companies Act requirements. Oversee board and shareholder meetings, drafting accurate resolutions and minutes.
  • Client Advisory & Relationship Management
    Act as a trusted advisor to a portfolio of clients, offering insights on governance, compliance, and regulatory changes. Build strong relationships by understanding client needs and delivering timely, high-quality support.
  • Risk & Regulatory Oversight
    Stay ahead of legislative updates and manage compliance processes, identifying and mitigating potential risks. Lead internal health checks and ensure robust governance frameworks are in place.
  • Project & Change Delivery
    Drive corporate restructuring, mergers, and entity lifecycle events across jurisdictions. Support due diligence efforts and collaborate on special projects, including business development opportunities.
  • Team Leadership
    Manage and mentor junior team members, ensuring capacity, quality, and individual growth are effectively balanced

Required Skills:

  • Strong knowledge of corporate law, governance, and international structures
  • Excellent drafting, documentation, and communication skills
