Planned Parenthood Federation of America (PPFA) is a 501(c)(3) charitable organization that supports the independently incorporated Planned Parenthood affiliates operating health centers across the U.S. Planned Parenthood Action Fund is an independent, nonpartisan, not-for-profit membership organization formed as the advocacy and political arm of Planned Parenthood Federation of America. The Action Fund engages in educational, advocacy, and electoral activity, including grassroots organizing, legislative advocacy, and voter education.
Serving as a member of the Office of the General Counsel, the Associate General Counsel will specialize in and be responsible for providing first-rate legal advice and business leadership on a wide range of matters – including intellectual property (IP) matters and in litigation – to PPFA, Action Fund, and Planned Parenthood Global (collectively, the “National Office”). The Associate General Counsel reports to the Deputy General Counsel.
Purpose: The Associate General Counsel will provide first-rate legal counsel and sound business advice to a wide variety of stakeholders, and will be the attorney principally charged with (1) managing and protecting the National Office’s IP, and (2) supporting business transactions and litigation in a variety of subject matter areas.
Engagement: The Associate General Counsel will work closely with National Office senior leadership and staff to support all aspects of the National Office’s communications and brand work. The Associate General Counsel will also support all aspects of the National Office’s transactional and business litigation matters.
Delivery: The Associate General Counsel’s duties and responsibilities include:
● Transactions
○ Provide thought-partnership, expertise and legal advice on commercial agreements, mitigation of business and legal risk, and appropriate legal documentation
○ Draft and negotiate commercial contracts in numerous subject areas
○ Advise and assist clients with dispute resolution
○ Work closely with Finance Dept. procurement team
○ Develop strategies and processes to address contracting needs across the organization
○ Foster collaborative client relationships to ensure that OGC continues to be trusted partner across organizational units
● Intellectual Property
○ Providing advice and counsel to business partners on intellectual property matters relevant to the National Office’s communications, brand, and operational activities
○ As the attorney principally charged with supporting the National Office’s communications and brand management, the Associate General Counsel will advice on all aspects of IP such as brand and copyright clearance, brand protection and enforcement, and IP aspects of new ventures, campaigns and products
○ Lead management of trademark portfolio
○ Draft IP licenses and assignments, and provide IP support on other complex legal agreements
○ Develop and deliver training for National Office staff on IP matters
○ Prepare written IP policies and guidance materials
○ Advise on IP strategy
● Providing advice and counsel to business partners, including executive and senior leadership teams, as well as boards and committees, regarding legal and not-for-profit governance matters
● Other matters and duties as assigned
Knowledge, Skills, and Abilities:
Requirements / Expertise
● Education: Juris Doctor (JD) from accredited U.S. law school
● Bar Admission: Eligible to practice in New York or Washington, DC
● Experience: Minimum 7 years of transactional legal experience, including trademark and copyright matters
● Assessing, structuring and mitigating the risks of programs, projects and policy initiatives relating to intellectual property, brand protection, publicity and communications
● Knowledge of corporate transaction and contracting processes, including drafting, reviewing, revising and negotiating complex agreements
● Knowledge of litigation and other dispute resolution procedures and processes
● General knowledge of tax-exempt laws, and general non-for-profit corporate and governance matters

● Exceptional research, analytical, and problem-solving skills, with the ability to think strategically and creatively about legal and business issues
● Ability to provide sound business advice as well as first-rate legal counsel to business partners at all levels, including executive team and senior leaders

Travel: This position may involve occasional domestic travel.
