The role involves managing entity incorporation and maintenance across international jurisdictions, collaborating with legal, finance, tax, and HR teams. Key responsibilities include drafting board documentation, preparing for meetings, ensuring statutory filings are completed on time, and managing external legal spend. The ideal candidate will assist with corporate documents, contracts, and ad-hoc tasks within a fast-paced tech environment.

Responsibilities

    • Entity incorporation for international jurisdictions. 
    • Entity maintenance: work closely with cross functional teams, e.g. finance, tax and HR to support the business. 
    • Work alongside in-house lawyers on share transfers and capital injection projects.
    • Draft board documentation, e.g. board minutes, resolutions, POAs. 
    • Coordinate and prepare for board meetings, committee meetings and general meetings, annual reports, interim reports, circulars and announcements.
    • Assist with filing of annual reports and other statutory filing based on the filing timelines and the local requirements of each jurisdiction. 
    • Budget forecast and cost control on external company secretarial/law firm spends. 
    • Assist with execution and filing of documentation, including corporate documents and contracts. 
    • Assist with any ad hoc tasks.

Requirements

    • At least 5-10 years of working experience, part of which includes proven experience leading on company secretarial matters at a financial services, multinational or listed company.
    • A degree or equivalent in law, business, corporate governance with a strong academic background.
    • Collaborative personality and can-do attitude.
    • Excellent organisational, communication, and interpersonal skills.
    • Comfortable working in a fast-paced tech environment where priorities can change and processes may need to be created from scratch.
