The Company Secretarial Assistant role involves providing governance advice and support to Marsh McLennan companies in the UK and ensuring statutory compliance. Responsibilities include maintaining statutory records, coordinating annual accounts, drafting resolutions, liaising with individuals, drafting minutes, and supporting intra-group projects. The assistant will also manage the legal entity management database (Diligent Entities) and provide corporate information for due diligence. The role requires interfacing with Boards, Finance, Tax, Treasury, Compliance and Legal departments. This role also provides the opportunity to work in a hybrid environment.
Must have:
  • Degree level education or equivalent.
  • Part-qualified or recently qualified with the Chartered Governance Institute.
  • Company Secretarial experience (professional or financial services preferred).
  • Knowledge of UK company law and corporate governance.
  • Experience interfacing with senior management.
  • Excellent written and verbal communication skills.

Company Secretarial Assistant - London

We are seeking a Company Secretarial Assistant to provide governance-related advice and support to Marsh McLennan companies in the UK, and to ensure the companies remain compliant with statutory requirements. The Senior Company Secretarial Assistant will interface with Boards of Marsh McLennan UK companies, Finance, Tax, Treasury, Compliance and Legal.

The role will include Board support, ad hoc governance projects, intra-group transactions and statutory compliance. The Senior Company Secretarial Assistant will work closely with other members of the team in discharging these duties.

We will count on you to:

  • Maintain statutory records and minute books and maintain statutory compliance with the Registrar of Companies.

  • Coordinating input into, and approval, of Annual Statutory Accounts and Letters of Representation for a portfolio of companies. Draft resolutions for the approval of corporate actions for UK companies including to effect Director changes, share capital adjustments, transactional approvals, record administrative updates and confer Powers of Attorney

  • Liaise with individuals responsible for producing reports to boards and committees for a portfolio of companies

  • Draft minutes of meetings and managing updates on outstanding actions from meetings

  • Support the Secretariat in providing governance support on intra-group projects including liquidations, cash repatriation, intra-group restructuring and capital reorganisations. Includes completing due diligence, facilitating approval processes, and providing support on post completion matters

  • Maintenance of legal entity management database (Diligent Entities)

  • Provision of corporate information and documentation for due diligence, RFP and KYC requests

What you need to have: 

  • Educated to degree level or equivalent, and part-qualified or recently qualified with the Chartered Governance Institute

  • Company Secretarial experience (professional services or financial services preferred).

  • Knowledge of UK company law and corporate governance requirements

  • Experience interfacing with senior management

  • Excellent written and verbal communication skills with an ability to tailor communication and deliver complex messages in a simple and creative way
