Overview: As a Contracts Administrator, Senior, you will be part of a focused team responsible for managing all aspects of integrating acquired company contracts into Progress’ commercial contracting practices and procedures. You will work closely with key stakeholders in Progress and the acquired company to facilitate a smooth integration and ensure compliance with Progress’ standards and policies. While the focus of the role will be on post-acquisition contract integration, you may also be asked to participate in pre-acquisition contract diligence activities.

In this role, you will:  

  • Contribute to the creation and maintenance of post-acquisition contract integration playbooks.
  • Update standard contracts templates for acquired company products and services to align with Progress’ contracting practices.
  • Review acquired company’s existing contracts and develop methods and schedule for addressing problematic contract clauses via negotiated amendments or replacement agreements.
  • Help create contract related KPIs for each acquisition integration and measure individual performance against those KPIs.
  • Deliver training to acquired company personnel on company polices and procedures relevant to contracting, as well as contract integration strategy and plans for execution.
  • Perform additional activities, as required, in the area of pre-acquisition contract diligence including:
  • Identification of contracts with common suppliers providing the same products and services, highlighting consolidation opportunities
  • Identification of contracts requiring critical attention, such as deadlines for a notice to a supplier about contract renewal or termination intentions
  • Identification of key and important contracts with potentially problematic clauses, such as: assignment limitations, change of control consequences, exclusivity rights. 

Your background:  

  • A minimum of 5 years of experience in the creation, negotiation, administration and monitoring of technology-related agreements, and in the use of related automation tools and products.
  • In-house experience in the IT industry is essential, ideally in the software sector. Experience with post-acquisition contract integration practices and procedures is a plus.
  • Will consider candidates with fewer than 5 years of experience, provided they have a minimum of 2 years of in-house experience in the IT industry.
  • A bachelor's degree in law, business administration, or a related field.
  • Knowledge of public company controls and procedures.
  • Excellent written and verbal communication skills in English.
  • Strong analytical, problem-solving, and organizational skills.
  • Proficiency in Microsoft Office applications, such as Word, Excel, PowerPoint, and Outlook.
  • Experience with CRM tools and contract lifecycle management systems, such as Salesforce, Conga, or DocuSign.
  • Attention to detail and accuracy.
  • Ability to work independently and collaboratively in a fast-paced, business and results-oriented and team based environment.
  • Ability to prioritize and manage multiple tasks and deadlines.
  • Ability to build and maintain positive relationships with internal and external stakeholders.
  • Ability to exercise sound judgment and discretion in handling confidential and sensitive information.
  • High ethical standards and integrity.
