Job Description & Summary

PwC Spain is the top financial advisor for M&A deals in Spain and is seeking a Manager to join the SPA (Sales and Purchase Agreement) Financial Advisor Team based in Madrid.

The SPA team is part of PwC's Transaction Services practice within the PwC's Deals solution. We have advised on over 200 deals in the past five years, representing corporate and private equity clients. Our deep market understanding enables us to demonstrate value to our clients. The SPA team offers financial services globally, with a growing team in Spain that is part of an international network. This provides opportunities for secondments in the mid-term.

The SPA team, we provide value to our clients throughout the entire deal process, from the beginning (advice in the Purchase Price of the transaction and the financial matters of the SPA) to finalisation and beyond (post-closing review of the Purchase Price). We offer end-to-end deal assistance, helping clients manage pricing and completion risks and opportunities from pre-deal to post-completion.

Our service offering includes: 

  • Recommendations regarding preferred pricing mechanism- locked box vs completion accounts;
  • Identification and analysis of key items in price negotiations:
    • Analysing buyer and seller views and arguments in negotiations on debt, cash and working capital items;
    • Determining financial parameters (target working capital, cash and restricted cash, net debt, working capital, etc).
  • Advice on preparation of completion accounts;  
  • Advice and assist in understanding the post-completion process and 
  • Assistance as an independent expert in case of disagreement between buyer and seller regarding completion accounts.

Requirements: 

  • Degree in Business / Economics/ Engineering 
  • Fluent in English and Spanish (day-to-day work would be mainly in English)
  • +5 years of experience in financial due diligence, M&A or audit; 
  • Excel, Power BI and Alteryx skills
  • Strong analytical skills and commercial awareness
  • Strong interpersonal skills
  • Working international experience is a plus
